Barron's reported on October 23 that Meta could initially raise about $20 billion through Class A shares or convertible bonds, followed by roughly another $20 billion after the company distributes its new non-voting Class C shares next year. An at-the-market programme, which would allow Meta to issue shares gradually rather than through one large transaction, was also described as a possibility. The distinction between a report and an announced financing plan is critical. Meta has not disclosed a $40 billion offering, filed terms for one or named underwriters. Chief Financial Officer Susan Li told analysts on the October 21 earnings call: "We don't have any specific financing plans to announce at this time." The Barron's report therefore adds a possible timetable and structure to a financing question that Meta itself has so far discussed only in broader terms.

Barron's Says Meta Could Raise the First $20 Billion Within Weeks
According to Barron's, Meta could move before the Class C shares begin trading, using either existing Class A common shares or convertible securities to raise approximately $20 billion. A second roughly $20 billion financing could follow after the new Class C shares are distributed. Meta plans to create the publicly traded, non-voting class under a recapitalisation scheduled to become effective on January 19, 2027. Existing Class A and Class B shareholders are due to receive one Class C share for every share they hold. The distribution itself raises no cash. FinanceFeeds explained the structure in its October 22 report on Meta's one-for-one Class C share dividend and why it is not a conventional stock split. Meta says the new security can later be used for capital raising, acquisitions, employee compensation and other corporate purposes without issuing additional voting power. Evercore ISI analyst Mark Mahaney told Barron's that Meta could raise between $50 billion and $100 billion through a mixture of equity and debt over the next three to six months. JPMorgan analyst Doug Anmuth separately said a capital raise could arrive sooner than investors had expected. Those are analyst estimates, not Meta guidance.

Meta Says the 'Hundreds of Billions' Figure Was Theoretical
The reported near-term deal also needs to be separated from a much larger number in Meta's recent capital-structure disclosures. The company's filing discussed long-range scenarios involving hundreds of billions of dollars of potential financing over several years. That language helped fuel speculation that the Class C structure was created specifically for an enormous equity programme. Li pushed back on that interpretation during a follow-up analyst call. She described the hundreds-of-billions figure as "a theoretical maximum" used in analysing how much equity Meta could issue before Mark Zuckerberg lost majority voting control. She said it was not a description of the company's present equity financing requirements or plans. That means the new Barron's report is materially different: it points to a specific, much smaller possible first transaction and says it could happen within weeks. Meta itself has not confirmed that timetable.

Credit Markets Are Already Charging Meta More
The financing report arrives after concern over Meta's AI spending moved beyond the stock market and into credit. An early Reuters report using Markit data showed Meta's five-year credit default swaps widening 7.3 basis points to a record 114.5 basis points on October 22. Reuters later updated its reading to 114.79 basis points, up 7.6 basis points. Bloomberg separately reported that ICE Data Services recorded an intraday level of about 119.3 basis points. The different figures reflect different data providers and timestamps rather than necessarily conflicting market moves. A credit default swap becomes more expensive as investors demand more compensation to insure against a borrower's default risk. Meta remains an investment-grade borrower; the significance of the move is the speed at which the market has repriced the cost of protecting its debt. One reason is the scale of commitments disclosed in Meta's latest 10-Q. The filing lists $454.52 billion of non-cancelable contractual commitments and $355.73 billion of leases that have not yet commenced. Meta also disclosed a contingent obligation to purchase up to $14.72 billion of additional cloud capacity. Together, those figures are approximately $825 billion, compared with almost $700 billion of future commitments reported in July.

Meta Has $82.45 Billion Liquid, but Free Cash Flow Turned Negative
The balance sheet helps explain why investors are now focusing so closely on the financing structure. Meta ended September with $82.45 billion of cash, cash equivalents and marketable securities. Long-term debt stood at approximately $80.92 billion. Third-quarter operating cash flow was $32.79 billion, but free cash flow was negative $2.12 billion after capital spending surged. Meta narrowed its full-year 2026 capital expenditure forecast to $135 billion to $145 billion, raising the bottom of the previous $130 billion to $145 billion range. The company is therefore not short of liquidity, but the AI infrastructure programme is consuming cash at a scale that makes the mix of debt and equity increasingly important. Friday's $642.62 Nasdaq close left Meta down another 0.96% after Thursday's 6.98% drop. FinanceFeeds' latest Meta stock price analysis from the $642.62 close sets out the current bull, base and bear paths through year-end but predates the Barron's $40 billion-plus financing report.

The Next Filing Matters More Than the Rumor
Meta has already created the framework needed to sell large amounts of equity without diluting Zuckerberg's voting control, but it has not yet announced the transaction Barron's says could be approaching. For shareholders, that makes the next concrete filing more important than the headline number itself. A Class A offering, convertible issue and at-the-market programme have different implications for immediate dilution, interest costs and future share count. A later Class C sale would add another structure entirely. Until Meta files actual terms, the $40 billion-plus figure remains reported financing planning rather than an announced capital raise. What has already changed is the market's price for that uncertainty: Meta closed Friday at $642.62, while the cost of insuring its debt against default reached record levels on Thursday as investors weighed an $825 billion commitment stack against a quarter of negative free cash flow and an AI budget that continues to expand.
