The October 19 filing identifies the proposed fund under the ticker PBIT and outlines a strategy combining call-option spreads linked to BlackRock's iShares Bitcoin Trust ETF (IBIT) with short-term fixed-income investments. Unlike a conventional spot bitcoin ETF, the proposed fund would not hold bitcoin or bitcoin exchange-traded products directly. Instead, it would use derivatives to establish defined ranges of potential gains and losses, although BlackRock cautioned that the strategy does not guarantee protection against investment losses. The application follows BlackRock's June launch of the iShares Bitcoin Premium Income ETF (BITA), expanding its bitcoin product range beyond direct price exposure and options-generated income.

How Would BlackRock's Bitcoin Downside Protection Work?
The proposed fund would typically purchase call options with strike prices below the prevailing value of IBIT or another eligible bitcoin reference asset, while selling calls with higher strike prices to partially finance those purchases. According to the prospectus, purchased options would generally have strike prices equivalent to approximately 90% of the reference asset's value when each position is established. This would create an initial maximum loss exposure of approximately 10% for the individual options tranche, before fees and expenses. However, that figure does not represent a guaranteed 10% maximum loss for investors in the overall ETF. BlackRock intends to maintain three overlapping options tranches, generally introducing a new position each month as an existing tranche expires. The staggered structure means investors would receive exposure to several option positions established at different market prices. The prospectus explicitly states that the fund would not provide a fixed protection floor or upside cap. Market volatility, portfolio adjustments and the timing of share purchases could alter investment outcomes substantially. BlackRock also warned that investors could lose some or all of their investment if the strategy fails to operate as intended.

The proposed 10% loss threshold applies to individual options positions when established, not to an investor's total ETF investment. The fund's actual downside exposure will depend on its overlapping contracts, prevailing market conditions and ongoing portfolio adjustments.

What Would Investors Sacrifice for Downside Protection?
BlackRock's strategy would limit participation in bitcoin rallies by selling call options above predetermined strike prices. Those contracts would offset part of the cost of purchasing protective exposure but restrict gains once the reference asset exceeds the relevant upper strike. The fund would also hold cash equivalents, money market instruments, short-term government obligations and investment-grade fixed-income securities. Interest earned on those holdings is intended to help finance the options strategy and partially offset potential losses. That approach differs from BlackRock's existing bitcoin products. IBIT, launched in January 2024, is designed to track bitcoin's price. BITA, which BlackRock introduced in June, instead generates monthly income by writing call options against part of its bitcoin exposure. The proposed protection fund would prioritize a different investment objective: reducing exposure to some market declines while accepting a ceiling on potential gains. The strategy builds on an established derivatives market. The SEC approved options trading on IBIT in September 2024, allowing investors to use conventional exchange-listed derivatives to manage bitcoin-related positions. BlackRock's latest filing would package a more complex options strategy into a single exchange-traded product.

Investor Takeaway

The fund could appeal to investors seeking bitcoin exposure with some downside management, but it may substantially underperform IBIT during sustained rallies. Its value proposition depends on whether the potential reduction in losses justifies the upside surrendered and additional investment costs.

Why Is BlackRock Expanding Beyond Spot Bitcoin ETFs?
BlackRock's filing indicates that competition in bitcoin investment products is increasingly extending beyond straightforward price tracking. Traditional spot ETFs primarily compete through fees, liquidity, custody arrangements and distribution. Options-based funds introduce additional considerations, including income generation, volatility management and portfolio risk preferences. BlackRock has already demonstrated demand for alternative bitcoin investment structures through BITA. As FinanceFeeds reported when the fund's fee structure was disclosed, BITA carries a 0.65% annual sponsorship fee and sells calls against approximately 25% to 35% of its exposure. The proposed protection ETF would operate differently because its options spreads are intended to manage both upside participation and downside exposure. The distinction matters for financial advisers deciding whether bitcoin belongs in a growth-oriented portfolio, an income allocation or a strategy that seeks to moderate losses.

What Happens Before the New Bitcoin ETF Can Launch?
The October 19 submission is a registration filing, not evidence that the SEC has approved the product for trading. BlackRock's preliminary prospectus leaves the management fee and total annual operating expenses unspecified. The filing indicates a proposed effectiveness period of 75 days, although the final launch date and trading arrangements remain subject to further developments. Investors will need to assess the eventual fee structure alongside the fund's option strike prices, protection levels and upside limits. The most important test will come after launch, when actual performance can be compared with IBIT across both rising and falling bitcoin markets.

Investor Takeaway

The filing adds a third potential bitcoin investment strategy to BlackRock's U.S. ETF lineup, but final pricing and implementation details remain outstanding. Investors should evaluate the fund's changing protection levels rather than assume it offers a permanent or guaranteed loss limit.
