Super League shareholders have cleared the path for one of the most ambitious Bitcoin treasury plays in U.S. public-market history. Stockholders voted at the company’s October 16, 2026 annual meeting to approve all proposals tied to Metaplanet’s planned controlling investment, putting a Japan-based Bitcoin treasury giant one step closer to planting its flag on Nasdaq.

The vote was not even close. The SEC Form 8-K filed after the meeting recorded 1,055,621 votes in favor of the key Nasdaq Listing Rule 5635 common-stock issuance proposal, against just 25,314 opposed and 19,343 abstentions. Shareholders backed the deal by an overwhelming margin.
What Metaplanet Is Bringing to the Table

Under the terms of the proposed transaction, Metaplanet Holdings will contribute 2,100 BTC at closing, subject to customary conditions.
At the August 14 reference price used in the announcement, that Bitcoin tranche was worth roughly $132.1 million. By October 16, the same coins had appreciated to approximately $170.0 million, a demonstration of how quickly Bitcoin’s price movement can reshape deal economics before a transaction closes.

The deal also includes a $2.5 million cash component alongside the Bitcoin.

In exchange, the announced consideration includes 44,859,400 common shares priced at $3.00 per share, 100 shares of convertible perpetual preferred stock, and ten-year warrants covering up to 381,000,000 common shares. That warrant package signals just how much upside Metaplanet is positioned to capture if the venture gains traction.

From Super League to Superplanet

The rebranding plan is already in motion. Super League said it expects to rename itself Superplanet, Inc. and trade on Nasdaq under the ticker SUPA after the transaction closes. The closing remains subject to customary conditions, including required Nasdaq filings, so the name change is not yet final.

Metaplanet CEO Simon Gerovich had previewed the deal’s ambition back in August, when details first became public.

Since April, a small team inside Metaplanet has been working on something we could not talk about. Today it is public.

Metaplanet is taking a controlling stake in Super League Enterprise (Nasdaq: SLE). At closing it will be renamed Superplanet, our U.S. Bitcoin treasury… pic.twitter.com/70vjsjrwUN

Source: @gerovich on X

Gerovich framed the move as Metaplanet taking a controlling stake in a U.S.-listed company, turning it into a dedicated American Bitcoin treasury vehicle. The deal had been in development since at least April, kept under wraps until the August announcement.

Super League Already Started Buying Bitcoin

The shareholder vote was not the only Bitcoin-related action on October 16. The same SEC filing disclosed that Super League separately purchased two BTC on that date at an average price of $81,444.82 per coin, signaling the company was already exploring Bitcoin as a treasury asset ahead of the deal’s formal close.

That move, modest in size but pointed in intent, shows Super League’s board is not waiting passively. As U.S. Bitcoin ETF flows have increasingly shaped BTC’s market direction, institutional-grade exposure has become a defining ambition for public companies seeking structured Bitcoin on their balance sheets.

What the Approval Means, and What Comes Next

Shareholder approval clears the governance hurdle under Nasdaq Listing Rule 5635, which requires stockholder sign-off when a company issues shares representing a significant percentage of outstanding stock. Super League’s planned issuance of up to 435,859,500 common shares in connection with the deal required that approval before anything could proceed.

Closing still requires both parties to satisfy customary conditions, including the Nasdaq filings needed to support the name change and ticker swap. Super League has signaled a fourth-quarter 2026 close, though that timeline remains a forward-looking statement rather than a confirmed date.

The corporate Bitcoin treasury model has drawn scrutiny from index providers; MSCI has moved to remove Strategy and other crypto treasury firms from its indexes, a dynamic that could affect how Superplanet is classified if the transaction closes as planned. For context on how the broader infrastructure supporting these strategies has evolved, Bitcoin market structure has expanded well beyond spot ETFs, giving treasury-focused companies new tools to manage holdings.

Metaplanet has built its reputation as Japan’s most aggressive corporate Bitcoin accumulator. If Superplanet reaches Nasdaq, it would give the firm a second publicly traded vehicle in a deeper capital market. Whether the structure delivers the returns shareholders are betting on depends entirely on what Bitcoin does next.

The vote is won. The ticker is ready. What happens when a Japanese Bitcoin treasury company sets up shop inside the U.S. market is the question no one can answer yet.
