Empery Digital Inc. disclosed on October 15, 2026 that shareholders elected eight of the company’s nine director nominees at its 2026 annual meeting, held the previous day, October 14, 2026. The company’s filing described the results as preliminary, noting that final certification from the meeting’s Inspector of Elections was still pending at the time of disclosure, with a subsequent filing expected once that certification is complete.
The eight nominees elected include Ryan Lane, who serves as Chairman and Co-Chief Executive Officer, alongside John Kim, Ian Read, Matthew Homer, Jonathan Foster, Adrian Solgaard, Rohan Chauhan, E. Taylor Robertson and Aaron T. Morris. The filing did not specify which single nominee among the original slate of nine failed to win election, leaving that detail to be clarified once the Inspector of Elections finishes certifying the full results.
Empery Digital describes its core strategy as pursuing a bitcoin treasury approach, holding bitcoin on its balance sheet as a primary reserve asset in a manner similar to other publicly traded companies that have adopted the same model. At the same time, the company has been expanding into artificial intelligence infrastructure and data-center investments, partnering with operators that bring real-estate and energy development experience to that side of the business, a combination that positions Empery Digital at the intersection of two of the more prominent corporate investment trends of 2026.
Chairman and Co-Chief Executive Officer Ryan Lane thanked shareholders for their support and confidence in the company’s board and management team following the vote, and separately described AI infrastructure as what he called the most compelling value creation opportunity of the current period. Lane said the board and management team could now focus their full attention on moving that plan forward on behalf of shareholders, framing the annual meeting’s outcome as freeing up leadership bandwidth to pursue the AI infrastructure buildout alongside the existing bitcoin treasury strategy.
The filing did not disclose Empery Digital’s current bitcoin holdings or provide specific financial figures tied to its AI infrastructure investments, focusing instead narrowly on the governance outcome of the annual meeting itself. Pairing a bitcoin treasury strategy with a simultaneous push into AI infrastructure reflects a broader pattern seen across several small and mid-cap public companies in 2026, many of which have sought to diversify beyond a single crypto-treasury thesis by layering in exposure to the AI infrastructure buildout as a second strategic pillar.
