Nine public companies have objected to the proposed trading of tokenized versions of their shares on OKXICE, putting a practical constraint on one of the first tests of the US Securities and Exchange Commission’s new framework for tokenized NMS stocks. The objectors are Cerebras Systems, AppLovin, Applied Digital, Rocket Lab, CoreWeave, Verizon, Applied Optoelectronics, Broadcom and UnitedHealth Group, according to an October 15 public notice from <a href="https://www.okx.com/cdn/assets/files/2610/F085D8D65135AB9C.pdf" rel="noopener noreferrer nofollow">OKXICE</a>.
The important distinction is that this is not a collective corporate verdict on tokenized equities. It is an exercise of a venue-specific right built into the SEC’s temporary exemption: before a tokenized securities venue offers third-party-tokenized shares, it must notify the issuer and give it an opportunity to object. That design gives issuers material control over whether their names appear in a particular experiment, even as the regulator permits the broader experiment to continue.
The objections therefore expose a more granular fault line than the familiar question of whether a token really is backed by a share. OKXICE proposes one-for-one share backing and associated shareholder entitlements. Yet its trading layer would not look like a conventional equities exchange. It would use permissioned <a href="https://cryptodaily.co.uk/2026/10/franklin-templeton-sec-tokenized-fund-trading-liquidity-pools" rel="noopener noreferrer nofollow">automated-market-maker pools</a> rather than an order book, and the notice identifies limits in the regulatory obligations applying to that activity. For issuers, and for the SEC’s eventual rulemaking exercise, the mechanics of how a tokenized equity trades may prove at least as consequential as how it is minted.
<h2 id="nine-issuers-used-the-sec-s-venue-specific-objection-right-against-okxice">Nine issuers used the SEC’s venue-specific objection right against OKXICE</h2>
The nine names span very different sectors and market profiles: semiconductors, telecommunications, health insurance, software, space, artificial intelligence infrastructure and optical networking. That breadth makes it difficult to reduce the objections to a single company-specific concern. The public notice records the outcome—nine issuers objected—but does not provide their individual rationales.
Under the SEC framework adopted on September 17, a tokenized securities venue, or TSV, must give an issuer notice and an opportunity to object before listing third-party-tokenized stock. The condition turns issuer consent into a live operating constraint rather than a peripheral corporate-relations issue. In this instance, the result is a barrier to OKXICE offering tokenized versions of the nine objectors’ shares through this proposed venue.
That does not create a general issuer power to halt every form of tokenized-equity activity everywhere. The framework is structured around the venue and the proposed offering. OKXICE may pursue other stocks, while another eligible venue would face its own notification and objection process. The SEC has described the exemption as a means to facilitate on-chain trading experimentation and gather information for future market-structure rules, rather than as a permanent settlement of how tokenized securities should trade.
That distinction matters because the headline number—nine—is easy to overread. It shows that issuers will use the procedural protection the SEC supplied when a venue seeks to tokenize their listed securities. It does not, on the evidence available, establish that those companies oppose all blockchain-based representations of stock, nor that the tokenized-equities category has been rejected by US corporate issuers as a whole.
<h2 id="okxice-s-amm-model-separates-tokenized-share-trading-from-an-exchange-order-book">OKXICE’s AMM model separates tokenized-share trading from an exchange order book</h2>
OKXICE’s proposed structure is unusual in a market accustomed to central limit order books. The venue is a 50/50 joint venture between Intercontinental Exchange Holdings and OKC USA Holding. Instead of matching buyers and sellers through a conventional <a href="https://cryptodaily.co.uk/stocks-glossary/order-book-definition" rel="noopener noreferrer nofollow">order book</a>, it proposes permissioned Uniswap v4 automated-market-maker liquidity pools on the XLayer blockchain.
An AMM arrangement organises trading through liquidity pools and a smart-contract mechanism, rather than through displayed bids and offers matched in an exchange order book. That is an infrastructure choice, not merely a different recordkeeping format: a token can represent an interest designed to track a listed share even as its secondary-market trading follows a substantially different path from the primary listing venue.
OKXICE’s notice describes a model in which unaffiliated tokenizers would hold the underlying shares one-for-one through a registered broker-dealer. Each token is intended to represent a security entitlement to one underlying share, including <a href="https://cryptodaily.co.uk/2026/10/securitize-tokenized-us-stocks-solana-shareholder-rights" rel="noopener noreferrer nofollow">dividends and voting rights</a>. Those features address the basic question of what the holder is meant to own and how corporate actions are meant to attach to that interest.
That distinction matters for an on-chain venue: one-for-one backing addresses the token’s relationship with its underlying share, while leaving open how readily holders can transact, what prices they receive, whether trading conditions remain orderly in stress, and how the venue’s liquidity relates to the market where the underlying stock is primarily listed.
The division is central to the objections. A discussion focused solely on reserves and shareholder rights can make tokenization appear to be a custody or settlement issue. OKXICE’s proposal shows that it is also a question of execution design. The issuer-objection mechanism gives companies a point at which to object before that design is used for their securities on a particular venue.
<h2 id="price-discovery-and-investor-protection-questions-sit-behind-the-issuer-vetoes">Price discovery and investor-protection questions sit behind the issuer vetoes</h2>
OKXICE’s public notice identifies the sharpest tension in the proposed arrangement. For its TSV activity, OKXICE is not registered with the SEC, is not subject to Regulation NMS, is not subject to registered-exchange fair-access requirements, and would not operate an order book. The notice does not attribute any particular concern to any one of the nine issuers. Still, those stated characteristics explain why the issue cannot be resolved merely by demonstrating that underlying shares are held.
Regulation NMS and exchange-access rules form part of the conventional architecture around US equity trading. An AMM pool is not simply a technical substitute for that architecture. It changes how liquidity is supplied and how prices are formed at the trading venue. The absence of an order book also means market participants cannot assume that the familiar display and matching model for listed stocks applies in the same way.
This is not an assertion that an AMM pool cannot produce usable prices or liquidity. The proposal’s model is precisely what the SEC exemption is intended to let the market test under conditions. It does mean that price discovery, liquidity and investor protection remain distinct issues from token backing—and are reasonable areas of scrutiny where a new venue seeks to trade instruments connected to widely held public companies.
The issuers’ procedural role is particularly consequential because a listed company’s name and shareholder base are drawn into a market that may operate beside, rather than within, the standard exchange framework. A one-for-one entitlement could preserve dividends and voting rights for the token holder as contemplated by OKXICE’s design. It would not automatically subject the trading venue to the same set of obligations that govern a registered national securities exchange.
For that reason, the objections are best understood as an early test of the SEC’s choice to regulate experimentation at the venue level. The agency has not made every tokenized-share model interchangeable. It has created room for tokenized trading, but only through a framework where operational structure, disclosures and issuer participation can shape which shares actually become available.
<h2 id="the-sec-exemption-permits-experimentation-but-constrains-its-scale-and-operation">The SEC exemption permits experimentation but constrains its scale and operation</h2>
The <a href="https://cryptodaily.co.uk/stocks-glossary/sec-definition" rel="noopener noreferrer nofollow">SEC</a>’s exemption is neither an unrestricted approval of on-chain equities nor a simple ban dressed up as an experiment. It is temporary, expiring on September 17, 2031, and the agency has said it is intended to inform future market-structure rules. Its conditions are designed to put boundaries around the experiment while allowing the regulator to observe how tokenized trading operates in practice.
Those boundaries include limits on the number of tokenized-stock symbols and on trading volume. The exemption also requires public transaction disclosures, coordination of trading stoppages with the primary listing venue, and auditable smart contracts deployed on a public permissionless ledger. Each requirement addresses a different practical concern: scale, transparency, market continuity and the inspectability of the code underpinning the transaction process.
Coordinated stoppages are especially revealing. They acknowledge that tokenized trading cannot be treated as wholly detached from the underlying stock’s primary market. If trading in the listed security is halted, the related tokenized market must have a mechanism for responding. The requirement links an on-chain venue to the established market even where the venue’s execution model differs sharply.
At the same time, the exemption does not remove the issuer-notification step. That preserves a decisive constraint on individual symbols. OKXICE can still seek to offer tokenized shares of companies that do not object, subject to the framework’s other conditions, but it cannot treat the nine objections as a minor administrative detail. The practical universe of tradable names depends not only on technical readiness and liquidity provision, but also on whether issuers accept their securities being represented and traded through the particular venue.
The result is a deliberately incomplete market at this stage. Symbol and volume caps limit scale; disclosure, audit and halt-coordination duties set operational conditions; issuer objections can narrow the available list further. That may frustrate a vision of tokenized equities as a frictionless replica of the whole US stock market. It is also consistent with an SEC experiment designed to generate evidence before the agency decides whether, and under what market-structure rules, a broader system should emerge.
For OKXICE, the nine objections leave a clear dividing line: the proposal is not blocked as a category, but the affected securities cannot be treated as available inventory for this venue’s launch. The exemption remains in force only until September 2031, and the SEC has explicitly tied the programme to the development of future rules. What matters in the interim is not simply whether shares can be tokenized, but whether a venue’s trading design can win acceptance within those constraints.
