VanEck Digital Assets, LLC filed a Form RW with the SEC on October 14, 2026, formally requesting withdrawal of its proposed VanEck Lido Staked Ethereum ETF registration statement under Rule 477 of the Securities Act of 1933. The filing closes the active path for the only proposed U.S. regulated vehicle designed to track the price of Lido's liquid-staking token, stETH, and comes roughly a year after the original S-1 was first submitted.

Matthew A. Babinsky, signing on behalf of VanEck Digital Assets, wrote that "the Sponsor does not intend to proceed with the planned distribution of the Trust's shares registered by the Registration Statement."

The filing confirms that the S-1 registration was never declared effective and that no securities were issued, sold, or included in a distributed preliminary prospectus under it. The Form RW provides no commercial, regulatory, or market reason for the decision to withdraw.

What a Form RW withdrawal indicates procedurally

A Form RW is a registrant-initiated request under Securities Act Rule 477 to pull a registration statement before it becomes effective. It is not an SEC denial, a rejection, or a regulatory ruling on the merits of the proposed product. The withdrawal simply removes the specific filing from active review, with no public finding by the SEC on whether such a product would be permissible.

What the Withdrawal Means for the Proposed stETH Fund

The original Form S-1 registration statement described the Trust's investment objective as reflecting stETH's price less operating expenses. It defined stETH as a liquid-staking token that evidences deposited ETH and the accrued staking rewards associated with that deposit, making it a structurally distinct product from a standard spot Ethereum ETF.

With the Form RW accepted, that proposed product no longer has an active registration with the SEC. The filing contains no indication of whether VanEck intends to submit a revised or replacement proposal at a later date. Readers should not interpret the withdrawal as a signal that the SEC affirmatively ruled against stETH-based products; VanEck, not the SEC, initiated the action.

Why the distinction between withdrawal and a regulatory decision matters

A regulator-issued denial or disapproval order carries formal legal weight and typically establishes precedent for how the SEC views a product category. A voluntary Form RW withdrawal does neither. The stETH market structure, Lido's protocol, and the broader question of whether a U.S. staking-yield ETF is permissible remain open questions that this filing does not resolve.

Ethereum was trading at $2,406.42 at the time of this report, down 0.76% over 24 hours, with a market capitalization near $293.9 billion. The Crypto Fear & Greed Index stood at 53, reflecting a Neutral sentiment reading. These figures are market context; neither the filing nor the available evidence attributes the withdrawal decision to current price conditions.

What to Watch Next

The clearest follow-on signal will be any new VanEck SEC filing or public statement referencing a stETH or liquid-staking product. Because the Form RW confirms no securities were ever issued under the withdrawn registration, any future product would require a new S-1 submission and a fresh review cycle.

Filings and statements that could add clarity

Investors and analysts tracking this space should monitor SEC EDGAR for new registrant filings from VanEck Digital Assets, LLC, and watch for any formal SEC guidance or rulemaking that addresses yield-bearing or staking-linked crypto products. The withdrawn filing leaves the regulatory status of such products in the U.S. formally unanswered, keeping both the Lido ecosystem and the broader Ethereum staking product conversation in a holding pattern until a new filing or a regulatory development provides resolution.
