The Nasdaq-listed Bitcoin treasury company has continued accumulating cryptocurrency through capital-market transactions, including an October offering of 15% Series A Perpetual SATS Preferred Stock.

According to its November 6 earnings announcement, Strive is also exploring opportunities in banking, brokerage, decentralized finance, reinsurance and tokenization.

The financial results highlight two different sources of shareholder exposure: fluctuations in Bitcoin’s market value and the cost of securities issued to finance additional purchases.

Strive Q3 Earnings: What Generated the Profit?

Under U.S. accounting rules, companies holding Bitcoin must recognize changes in its fair value through earnings. An increase in the cryptocurrency’s price can therefore generate substantial reported income without requiring the company to sell any holdings.

Strive’s quarterly financial statements illustrate this effect. Its digital-asset revaluation exceeded reported net income, while the operating business continued to generate expenses substantially above revenue.

The figures below separate the principal components of the company’s results.

The results also included a $14.65 million impairment associated with medical-device research and development, reflecting costs outside the company’s principal Bitcoin treasury activities.

Across the first nine months of 2026, Strive recorded a $14.5 million GAAP net loss despite its profitable third quarter. The difference illustrates how strongly the timing of cryptocurrency price movements influences its reported financial performance.

The company’s adjusted net income attributable to common shareholders was $494.6 million. Investors should distinguish that non-GAAP measure from recurring operating profitability because adjustments do not remove the economic exposure created by Bitcoin price movements.

Preferred Financing Creates a Higher Return Hurdle

Strive’s October capital raising introduced an important change in how the company finances Bitcoin purchases.

Rather than relying exclusively on common-stock issuance, Strive has expanded its use of perpetual preferred securities. These instruments can provide capital without immediately increasing the common-share count to the same extent, but their dividend provisions create ongoing claims on corporate resources.

The company’s SATS preferred stock carries a fixed 15% annual dividend based on its stated value. Its separate SATA preferred series has a variable dividend rate.

Based on the October 30 outstanding share counts, SATS alone implies approximately $105.1 million in annual dividends. Including SATA at its applicable November rate of roughly 13% brings the illustrative combined annual run rate close to $287 million.

Bitcoin is the hurdle rate at Strive. We believe our Bitcoin Yield is the primary driver of $ASST outperformance over $BTC this year. Now with both $SATA and $SATS, Strive has never been better positioned to deliver long-term returns above Bitcoin for our common shareholders.

— Matt Cole (@ColeMacro) November 6, 2026

These are annualized estimates rather than amounts already paid. Future issuance, redemption and rate adjustments could change the total.

The cost becomes clearer when compared with the economics of holding Bitcoin directly.

Bitcoin does not generate a contractual cash yield. A company purchasing additional BTC with preferred capital must therefore fund distributions through other resources, asset sales or financing transactions unless its operating businesses generate sufficient cash.

For example, $100 million of preferred financing at a 15% annual rate creates a $15 million yearly dividend obligation. If Bitcoin purchased with those proceeds rises 10%, the $10 million mark-to-market gain would be smaller than one year’s preferred dividend, before considering issuance expenses or other costs.

A 20% increase would produce a $20 million valuation gain, exceeding that illustrative annual dividend by $5 million. Neither scenario represents realized cash profit, and the calculation excludes changes in the preferred securities’ market value.

The comparison shows why the acquisition price and financing terms are both essential to evaluating treasury-company performance.

How Strive Compares With Strategy

Strive’s approach resembles the capital-market model developed by Strategy, formerly MicroStrategy, which has used common equity, convertible securities and multiple preferred-stock structures to finance Bitcoin accumulation.

Both companies seek to increase cryptocurrency exposure per common share, but the securities used to fund purchases carry different costs and seniority.

Strive’s 15% SATS rate is particularly relevant because it establishes a substantial contractual distribution hurdle. Strategy’s preferred instruments have their own dividend structures, including variable-rate securities, making a simple comparison of headline yields insufficient.

A lower stated dividend does not necessarily mean cheaper capital. Issuance discounts, redemption provisions, market pricing and the treatment of unpaid distributions can materially change the effective financing cost.

The more useful comparison is whether each company can acquire additional Bitcoin on terms that improve the residual economic position of common shareholders after accounting for preferred claims and dilution.

Strive’s Bitcoin Yield metric addresses only part of that question. It tracks the change in Bitcoin exposure per assumed diluted share but does not represent a cash return, total shareholder return or a financing-cost-adjusted performance measure.

Bitcoin Concentration Magnifies Balance-Sheet Volatility

At September 30, digital assets represented approximately 87% of Strive’s reported total assets, leaving the company’s book value highly sensitive to cryptocurrency prices.

Using the quarter-end balance, a hypothetical 20% decline in the value of those assets would imply a reduction of approximately $468 million before taxes, subsequent transactions or other valuation changes.

The calculation is a static sensitivity test, not a forecast. It excludes Bitcoin acquired after September and does not assume that the company would need to liquidate holdings.

The capital structure determines how such losses affect different investors. Preferred shareholders generally have senior claims relative to common equity, while common shareholders absorb changes in the residual value of the business.

Strive has also disclosed an investment in Strategy’s STRC preferred stock, adding exposure to another Bitcoin treasury company through a financial instrument rather than direct cryptocurrency ownership.

Management’s proposed expansion into financial services could eventually introduce additional sources of income, but those activities remain under evaluation and cannot yet be included in a recurring earnings forecast.

For common shareholders, the most revealing measures in subsequent reports will be changes in Bitcoin holdings per diluted share, the effective cost of newly raised capital and the cash resources available to service preferred distributions.

Strive has demonstrated access to financing for large-scale Bitcoin purchases. Its next challenge is making those purchases economically worthwhile after the financing bill comes due.
