The Central Bank of Nigeria (CBN) has introduced a stablecoin regulatory framework that could require Tether and Circle to establish licensed Nigerian operations. According to the CBN, Regulations for the Operations of Non-Security Virtual Assets in Nigeria introduce new licensing, capital, and operational requirements for foreign stablecoin issuers.

The framework could affect how Nigerians access USDT and USDC through cryptocurrency exchanges and peer-to-peer trading platforms. Global stablecoin issuers may need local subsidiaries, regulatory approval, and substantial capital commitments to serve Nigerian customers.

Tether and Circle Face ₦15 Billion Capital Requirement

Under the framework, the CBN classifies stablecoins into two categories based on their reference currencies. Class 1 covers naira-referenced stablecoins, while Class 2 includes foreign currency stablecoins such as USDT and USDC.

Foreign issuers must operate through Nigerian-incorporated entities holding valid Class 2 Foreign Currency Issuer Licences.

“A foreign-currency-referenced stablecoin may be offered, marketed, distributed, exchanged, held in custody, redeemed or otherwise made available to persons in Nigeria only as a Class 2 Stablecoin issued through a Nigerian-incorporated entity holding a Foreign Currency Issuer Licence (Class 2).“

Consequently, Tether and Circle could need locally licensed subsidiaries or partnerships to provide regulated stablecoin services in Nigeria. The framework permits foreign ownership but requires Nigerian entities to maintain compliance systems and provide regulators with relevant operational records.

Additionally, Class 2 issuers must maintain ₦15 billion in paid-up capital, compared with ₦10 billion for naira-backed issuers. Other regulated virtual asset service providers face minimum capital requirements of ₦1 billion under applicable licensing categories. These financial obligations could increase operating costs, particularly among smaller Nigerian cryptocurrency businesses seeking regulatory approval.

Nigeria Introduces Stricter P2P Trading Rules

Beyond issuer licensing, the framework introduces additional regulatory requirements for platforms facilitating peer-to-peer cryptocurrency transactions. Operators providing order matching, escrow arrangements, or payment settlement must obtain appropriate authorisation and explicit CBN approval.

“The Bank has expressly approved Platform-Facilitated Peer-to-Peer Services within the scope of that licence, authorisation or approval.”

These restrictions cover organised trading platforms but exclude private bilateral transfers conducted without third-party intermediaries. Meanwhile, foreign currency stablecoin conversions into naira face additional restrictions requiring specific regulatory approval.

CBN Mandates Full Stablecoin Reserves and Smart Contract Controls

The framework also requires licensed issuers to maintain reserves covering at least 100% of outstanding stablecoin obligations. Naira-backed issuers must deposit at least 20% of their reserve assets with the central bank.

“Every Class 1 Licensed Issuer shall maintain not less than twenty per cent (20%) of its total Reserve Pool as a cash deposit at the Bank in a dedicated Reserve Deposit Account.“

Furthermore, licensed issuers must maintain smart contract controls supporting transaction freezes, address blocking, and token burning. These requirements aim to strengthen reserve transparency, protect stablecoin holders, and support regulatory oversight of digital asset transactions.

What You Should Know

Nigeria’s regulatory framework prohibits stablecoin issuers from offering interest or other financial rewards simply for holding their tokens. Additionally, regulated stablecoins do not qualify as bank deposits and remain outside the Nigeria Deposit Insurance Corporation’s protection.

Despite the stricter requirements, the framework does not impose an outright ban on USDT, USDC, or private P2P transactions. Instead, it establishes licensing conditions for companies issuing, distributing, or facilitating regulated stablecoin activities within Nigeria.

Tether, Circle, and domestic cryptocurrency businesses must meet applicable capital, licensing, and operational requirements to maintain regulated market access. The framework could therefore reshape Nigeria’s stablecoin industry as companies assess their compliance obligations and operating structures.
