Datavault AI disclosed in a Form 8-K filed October 26, 2026, that it requested a withdrawal of Bitcoin from its Biconomy-maintained digital wallet in June 2026 and, as of the filing date, had been unable to complete it. The company's shares fell 49.55% to $0.067 on October 27 after investors absorbed the disclosure alongside a planned accounting restatement that the company said could reduce its total assets by as much as $92.2 million.

Datavault AI Says It Cannot Access Its Bitcoin Holdings

According to the Form 8-K filing, Datavault said counterparty Scilex Holding Company credited 1,309.04 BTC to its Biconomy wallet through off-chain transfers. Datavault later sold 491.431 BTC back to Scilex for approximately $40.5 million in cash, leaving a remaining balance it subsequently tried to move out of the Biconomy custody arrangement.
A critical accounting question runs through the disclosure. Because the Bitcoin was credited through off-chain Biconomy ledger entries rather than on-chain transfers, Datavault now says the balance should be reclassified as a subscription receivable owed by Scilex rather than a corporate digital asset held outright by Datavault. That reclassification is at the center of the planned restatement.

Datavault's board and management concluded that previously issued financial statements should no longer be relied upon and that the company intends to restate them. The filing says expected corrections would reduce total assets by $8.1 million at September 30, 2025; $92.2 million at December 31, 2025; $57.1 million at March 31, 2026; and $49.0 million at June 30, 2026.

The filing also warned that the company is reassessing its going-concern evaluation. Because the Bitcoin balances will no longer be presented as assets on its books and because collection of amounts owed by Scilex is uncertain, Datavault acknowledged that its ability to continue as a going concern is now in question.

Shares Fall Following the Bitcoin Holdings Disclosure

DVLT shares fell nearly half their value in a single session after the filing became public. The 49.55% decline to $0.067 on October 27 reflected immediate investor concern over both the inaccessible holdings and the scope of the planned restatement, a combination that put the company's balance-sheet credibility in doubt.

The sell-off occurred while Bitcoin itself was trading at approximately $79,916, down about 1.2% on the day, meaning broader Bitcoin weakness was not a meaningful driver of the stock move. The company-specific nature of the decline underscores how sharply investors repriced the risk attached to Datavault's Bitcoin treasury strategy once the custody and accounting issues became known. Other firms pursuing Bitcoin treasury strategies, such as those that have paused Bitcoin purchases while managing capital structure, have also faced scrutiny over how they account for digital assets on their balance sheets.

The transaction chain linking Datavault, Scilex, and Biconomy Pte. Ltd. added complexity to the investor reaction. Scilex's own SEC quarterly filing describes a $200 million Bitcoin transaction involving Semnur shares and the use of $150 million in Bitcoin to purchase Datavault stock, positioning Biconomy as a node in that broader arrangement rather than a simple custodian. Investors in companies with similarly structured Bitcoin arrangements have been watching Bitcoin price pressure at the $80,000 level closely, since asset valuations tied to those levels directly affect balance-sheet math.

What Investors Will Watch Next

The most pressing unanswered question is whether and when Datavault can complete the Bitcoin withdrawal. The filing states that as of October 26, 2026, the June withdrawal request remained incomplete, but it does not explain what is blocking the transfer, whether Biconomy has disputed the request, or what legal or contractual mechanisms Datavault is pursuing.

Investors will also track whether the restatement process surfaces additional errors. Datavault's filing explicitly noted that its ongoing review may identify further accounting issues or cause delays in submitting required SEC filings, a standard but meaningful caveat that leaves the scope of the problem open-ended. The going-concern warning amplifies that uncertainty: if restated financials remove the Bitcoin holdings as assets and Scilex's payment obligations prove uncollectable, the company's reported net asset position could shrink substantially.

A second watch item is the counterparty relationship with Scilex. The off-chain nature of the original Bitcoin credits, combined with the $40.5 million buyback transaction already executed between the two companies, means the resolution of the current standoff may depend on negotiations with Scilex as much as on Biconomy's cooperation. Questions about indirect Bitcoin exposure through corporate structures have attracted growing attention from analysts and institutional investors who want clarity on whether digital asset holdings are directly controlled or dependent on third-party ledger entries.

The regulatory dimension adds a further layer. Datavault's 8-K was filed under Item 4.02, which covers non-reliance on previously issued financial statements and the decision to restate them. That filing type signals to the SEC that the company's prior disclosures were materially inaccurate, which can invite follow-on inquiries even when the company self-reports the problem. Investors who bought shares relying on the Bitcoin asset valuations now reflected as overstated will be closely monitoring any SEC correspondence disclosed in future filings. The broader question of how cryptocurrency custody arrangements are represented on public company balance sheets, a subject that regulators have signaled interest in, could make this case a reference point for policy discussions about disclosure standards for digital asset holdings.
