Meanwhile, persistent selling pressure pushed shares lower throughout the session, leaving the stock near its intraday lows.

Meta Platforms Expands Common Stock Offering to $25 Billion

Meta Platforms announced the pricing of two separate public offerings on October 27, 2026. The company increased its common stock offering from $22.5 billion to $25 billion, pricing shares at $625 each. Additionally, the offering covers 40 million Class A common shares through agreements with Morgan Stanley and Goldman Sachs.

Under these agreements, the financial institutions will borrow shares from third parties and sell them through the offering. Meta expects approximately $24.9 billion in proceeds before expenses when it settles the agreements. However, the company will not receive immediate proceeds from the initial common stock sales.

Meta expects to complete the common stock offering on October 29, subject to customary closing conditions. The company plans to settle its forward sale agreements by November 19, 2027. Furthermore, underwriters can purchase another $3.75 billion in shares, potentially increasing the offering’s proceeds to approximately $28.7 billion.

Meta Prices $12.5 Billion Preferred Stock Offering With 6.50% Dividend

Alongside the common stock sale, Meta priced 250 million Series A depositary shares at $50 each. Each depositary share represents one-twentieth of a newly issued mandatory convertible preferred share. Together, these securities represent $12.5 billion in additional financing for general corporate purposes.

The preferred securities carry a 6.50% annual dividend, with quarterly payments beginning February 15, 2027. Meta can distribute dividends through cash, common shares, or a combination, subject to applicable conditions. Additionally, the preferred stock will automatically convert into common shares around August 15, 2029.

Each preferred share will convert into between 1.3620 and 1.6000 common shares, depending on the applicable market price. Meta has also applied to list the depositary shares on Nasdaq under the symbol METAM. Meanwhile, underwriters can purchase another 37.5 million depositary shares, potentially increasing net proceeds to approximately $14.3 billion.

Meta Stock Declines as Financing Plans Expand

The financing announcement introduces a substantial capital transaction alongside Meta’s existing operations and technology investments. Meta operates Facebook, Instagram, WhatsApp, and other digital platforms while expanding its artificial intelligence infrastructure. The company plans to direct proceeds from both offerings toward general corporate purposes.

The common stock agreements allow Meta to receive financing later while arranging share sales through financial institutions now. However, future settlement will require share delivery, potentially increasing the company’s outstanding share count. The preferred securities also introduce dividend obligations and potential additional common shares following their scheduled conversion.

Meta expects both offerings to close independently, so neither transaction requires completion of the other. Morgan Stanley and Goldman Sachs lead the underwriting, alongside several additional financial institutions. The combined financing establishes a $37.5 billion base offering, with additional underwriter options potentially increasing its total size.
