The framework covers reserves, redemptions, custody and supervision, with separate AML and sanctions rules still pending.

The Office of the Comptroller of the Currency’s new stablecoin rules take effect on January 18, 2027, but the agency has yet to open the application window for companies seeking federal authorization.

That creates a licensing problem for existing issuers. Even a company prepared to meet the GENIUS Act’s reserve, redemption and risk-management standards could reach the effective date without a decision on its application.

In its October 21 announcement, the OCC finalized the rules governing payment stablecoin issuers under its jurisdiction. Separate guidance explains how qualifying businesses may request temporary relief while their applications are reviewed.

The agency also made clear that issuing payment stablecoins without the required authorization can carry criminal penalties once the law becomes effective.

A 150-Day Review Process Meets a January Deadline

The OCC cannot begin accepting applications until the Office of Management and Budget approves the required information collection. It has promised a separate announcement when submissions open.

According to OCC Bulletin 2026-51, once an application arrives, the agency generally has 30 days to determine whether it is substantially complete. After that determination, the OCC has up to 120 days to issue a decision.

Those periods add up to a potential 150-day review process, excluding time an applicant might need to supply missing information. They are regulatory review limits, not a forecast that every application will take that long.

The problem is straightforward: an issuer cannot control when the application window opens, yet it must prepare for a fixed compliance date.

The delay is particularly relevant for established issuers with circulating tokens and existing payment relationships. Unlike a new entrant that can postpone its launch, an operating company must decide how to maintain lawful issuance during the transition.

Why the OCC Expects to Grant Some Waivers

The OCC’s application and waiver guidance addresses that problem directly.

Existing issuers with substantially complete applications pending by the effective date may request waivers from certain GENIUS Act requirements. The regulator says it generally expects to grant qualifying existing issuers relief from the prior-approval requirement unless its review identifies stronger reasons to deny the request.

Crucially, a waiver of the prior-approval requirement does not exempt an issuer from reserve-backing, redemption or operational obligations, which must still be satisfied when the applicable rules take effect.

That is a meaningful distinction from an automatic grace period. Companies must apply, request relief and satisfy the applicable conditions.

Waivers can last no longer than 12 months from the effective date, and the OCC expects to limit their duration to what is necessary. The agency has not identified comparable general reasons to waive other requirements, including reserve and operational obligations.

It also does not generally expect the same relief to be available to businesses that have not yet begun issuing stablecoins in the United States.

Waiver decisions are discretionary. Eligibility depends on the applicant’s circumstances and the specific relief requested.

For counterparties, the difference changes due diligence. An exchange evaluating an issuer should establish not only whether an application has been submitted, but whether authorization or any relevant waiver has actually been granted.

Reserve Compliance Is About Liquidity, Not Just Dollar Backing

The final rule establishes standards covering eligible reserve assets, redemptions, risk management, audits, reporting, custody and supervision. It also addresses capital and operational backstops for issuers under OCC jurisdiction.

The practical test comes when holders demand their dollars back.

Consider a hypothetical issuer with $1 billion in outstanding stablecoins. If customers request redemption of 10% of that amount, the issuer must manage $100 million in claims while continuing to meet its obligations to remaining holders.

A stable secondary-market price does not establish that an issuer can process those redemptions. Reserve composition, liquidity management and operational access to assets all matter.

This is where the GENIUS Act could change competition among stablecoin issuers. Regulatory approval will require evidence of operational readiness, not simply a history of maintaining a market price near $1.

The same distinction matters to institutional users deciding which tokens to accept for settlement or treasury operations.

Offshore Stablecoins Face a Distribution Barrier

The legislation also changes the compliance calculations for exchanges serving U.S. customers.

Under the GENIUS Act, digital asset service providers generally cannot offer or sell payment stablecoins to U.S. customers unless the issuer is permitted under the domestic framework or meets the applicable requirements for foreign issuers.

An offshore stablecoin’s authorization in another jurisdiction therefore does not automatically establish eligibility for U.S. distribution.

For exchanges, this creates an obligation to assess the issuer’s status separately from the token’s liquidity, trading volume or redemption history. For issuers, a credible regulatory pathway could become increasingly important when negotiating access to U.S. payment platforms.

The OCC’s announcement does not establish that any particular stablecoin has received new GENIUS Act approval.

The Next Decision Is When Applications Can Begin

The OCC has completed the rulemaking assigned to it under the GENIUS Act, except for Bank Secrecy Act, anti-money laundering and sanctions-related provisions, which will be addressed separately with the Treasury Department. Other federal regulators retain their own implementation responsibilities.

The immediate development to watch is the OCC’s announcement that it has begun accepting applications and waiver requests. The agency’s GENIUS Act licensing page currently states that submissions are not yet being accepted.

For existing issuers, the central challenge is securing a lawful route through the transition without interrupting operations. For new entrants, the rules establish the conditions they must satisfy before launching.

That difference could influence which stablecoin businesses are positioned to expand in the United States once federal licensing begins.
