Elon Musk said he would be open to combining Tesla and SpaceX into a single corporate group, describing potential benefits tied to artificial intelligence, chips, robotics and other areas. Speaking during a SpaceX Q3 earnings call on Tuesday, Musk said he believes cooperation across both companies could accelerate work in “superintelligence software” and related infrastructure, while also noting the merger is far from guaranteed.

The discussion comes as both Tesla and SpaceX have reportedly formed special committees of independent directors after shareholder requests. Musk said he is not able to participate directly because of a conflict of interest. A merger would also potentially consolidate SpaceX’s AI-focused entities—such as its Grok development unit—and SpaceX’s acquisition of X, placing Tesla alongside those assets in the same group.

Musk said he likes the idea of merging Tesla and SpaceX, but emphasized that it is not certain the deal will happen.

Special committees of independent directors are reviewing the concept, and Musk said he cannot join due to a conflict.

SpaceX’s Q3 results showed major growth in its “Super Intelligence” AI revenue segment, reinforcing why Musk frames the idea around AI collaboration.

A combined Tesla–SpaceX corporate Bitcoin treasury would total 30,221 BTC based on both companies’ reported holdings as of June 30.

Musk signals openness, but deal certainty remains low

Musk told analysts that he thinks a Tesla–SpaceX merger could be beneficial. “Do I think it would be a good idea? Yes,” he said, pointing to areas where the two businesses could cooperate. He highlighted efforts that could span superintelligence software development, chip design, robotics, mass to orbit through SpaceX’s launch activities and connectivity initiatives.

At the same time, Musk stressed that expectations of a near-term merger appear overstated. He said the special committees have not agreed on deal terms and that there is no guarantee the process will culminate in a transaction. For Tesla in particular, Musk pointed to a regulatory and shareholder hurdle: a merger would require approval by at least 50% of all Tesla shares, not merely the shares represented at a vote.

This distinction matters for investors because it raises the probability of outcome variance—support can fail even if sentiment looks favorable among the subset of shares that participate. In other words, the decision threshold is high enough that even strong market narratives may not translate into an approved deal.

SpaceX Q3 earnings: AI becomes the revenue engine

Musk’s remarks followed SpaceX’s third-quarter earnings report, which showed total revenue rising 161% year over year to $14.6 billion. According to SpaceX, the bulk of that growth came from its “Super Intelligence” segment, which generated $7.6 billion in Q3 revenue—an 830% increase compared with the prior year and the largest contributor to the company’s overall top line.

SpaceX attributed the performance to several drivers: activation of new cloud services agreements, acquisition of Cursor, and increasing adoption of its agentic AI model Grok across both enterprise customers and consumers. These details are relevant to the merger discussion because they show that, at least in the latest reporting period, AI services are already a major profit-and-scale contributor for SpaceX.

For holders of either company, the logic of a potential merger hinges on whether the AI and infrastructure capabilities SpaceX is scaling can be integrated with Tesla’s hardware and manufacturing ecosystem in a way that creates durable competitive advantage—something the shareholder and committee process will ultimately need to underwrite.

Bitcoin treasuries could be consolidated

Another angle often examined by market participants is the effect on corporate treasury holdings, particularly Bitcoin. Tesla and SpaceX each disclose their Bitcoin reserves in their quarterly filings.

As of June 30, SpaceX reported holding 18,712 Bitcoin, while Tesla held 11,509 BTC, according to the companies’ respective filings referenced in the earnings-related coverage. Combining those disclosures yields a total of 30,221 BTC for a hypothetical merged entity.

On that basis, a combined Tesla–SpaceX treasury would rank as the sixth-largest public Bitcoin treasury company, surpassing crypto exchange Bullish, as calculated from those reported holdings. While treasury size is not the same as future market impact, it can influence investor perceptions of corporate Bitcoin adoption—especially when a story is already centered on scaling a broader technology empire.

What to watch next

For now, Musk’s comments expand the discussion around synergy, but the practical path forward depends on how the independent committees evaluate terms and whether shareholders can clear Tesla’s 50% approval threshold. Investors should watch for any formal agreement on transaction structure and timing, along with further details on how SpaceX’s “Super Intelligence” revenue growth may shape the rationale for combining the two companies.
