A federal judge has denied a joint request by Gemini and the Commodity Futures Trading Commission to vacate a $5 million penalty, leaving the court-imposed obligation intact. The ruling marks a rare instance of both a regulated firm and its federal regulator aligning on the same procedural ask, only to be turned away by the bench.

Both Gemini, the cryptocurrency exchange founded by Cameron and Tyler Winklevoss, and the CFTC asked the federal court to vacate the $5 million penalty. The judge denied that request, meaning the penalty stands as a matter of court record. A motion to vacate asks a court to nullify or set aside an existing judgment or order. When such a motion is denied, the underlying ruling remains in full legal effect, and the parties must pursue other remedies, such as an appeal, if they wish to challenge it further. The joint nature of the motion is notable. When a regulator and the regulated entity both seek to remove a penalty, it can reflect a settlement reached after the original judgment was entered. Courts are not obligated to honor such agreements after a final order has been issued, and this ruling illustrates that dynamic. The CFTC has taken other recent steps to adjust its enforcement posture toward crypto firms, but those broader policy shifts did not appear to influence the court's decision here.
What the Denial Means for the $5 Million Penalty

The court's denial leaves the fine amount in place. Neither Gemini nor the CFTC succeeded in having the penalty removed through this procedural route.
Any further challenge to the ruling would require a separate legal step, such as an appeal to a higher court. The parties have not publicly confirmed plans to appeal, and no additional proceedings have been confirmed at this stage.
The outcome adds to a pattern of federal courts maintaining scrutiny over CFTC enforcement outcomes even when the agency itself seeks to modify them. In a separate matter, the CFTC separately asked a judge to dismiss a CME lawsuit over crypto perpetual futures approval, signaling that federal courts remain active arbiters of the agency's enforcement and rulemaking decisions.
For Bitcoin markets, where the CFTC holds direct jurisdiction over futures and derivatives products, court rulings that constrain the agency's ability to unilaterally modify penalties preserve the deterrent structure of federal oversight. A regulatory framework where penalties can be easily unwound after the fact would weaken the enforcement signals that inform institutional participation in regulated Bitcoin derivatives markets.
