BNB Plus Corp filed a Form 8-K with the Securities and Exchange Commission on October 2, 2026, attaching a press release that announces a strategic transition from a digital asset treasury company to an operating company built around institutional technology infrastructure for blockchain and artificial intelligence.
The company, trading under the ticker BNBX on the OTCQB Venture Market and headquartered in Stony Brook, New York, said it will pivot away from passively holding BNB Chain tokens and instead build infrastructure layers meant to let financial institutions and large enterprises adopt blockchain and agentic AI technologies at production scale. Chairman Richard Shorten framed the move as a bet on where open financial systems are heading, saying “decentralization, data sovereignty and bespoke infrastructure capable of enterprise-grade risk management and compliance are among the core disciplines upon which the next generation of open financial systems will be built.”
As part of the shift, BNB Plus is evaluating an expanded partnership with GlobalStake Infrastructure LLC to support deployment of the new infrastructure layers it intends to build. The company also plans to unlock value from LineaRx, a subsidiary that operates an enzymatic DNA manufacturing platform for mRNA and other genetic medicines, a business line the filing frames as a separate pool of value that current BNBX shareholders have not yet been able to realize.
Chief Executive Officer Clay Shorrock tied the AI infrastructure push to the same demand curve reshaping biotech manufacturing, pointing to recent clinical progress in personalized mRNA cancer therapy as evidence that the underlying technologies the company is now investing around, fast and reliable production infrastructure paired with AI-driven decision tools, are becoming commercially relevant well beyond crypto treasury management.
The filing stresses that BNB Plus expects to stay active within the BNB Chain ecosystem even as its primary focus shifts toward building out enterprise-grade infrastructure rather than simply accumulating and holding BNB on its balance sheet. The move places BNB Plus among a small but growing group of publicly traded digital asset treasury companies that have concluded a passive buy-and-hold strategy alone is not enough to sustain their valuations, and that pairing treasury holdings with an operating business gives shareholders a second lever for growth beyond the price of the underlying token.
