Ondo Finance keeps its tokenized stocks anchored to real shares by never letting the underlying stock leave the traditional U.S. custody system.&nbsp;
Instead of creating a synthetic token that just tracks a stock's price, Ondo's transfer agent mints a blockchain token for every real share held in regulated custody, at a strict 1:1 ratio. This structure follows a model the SEC outlined in a January 2026 staff statement, and it is why Ondo describes its approach as custodial rather than synthetic.
<h2 id="span-span-what-is-ondo-s-custodial-tokenization-model-span-span">What Is Ondo's Custodial Tokenization Model?</h2>
Under this model, a regulated third party holds the actual security, and a separate registered entity issues a crypto asset representing the holder's claim on that security. Ondo built its version around Oasis Pro, a company it acquired in October 2025 that came with an SEC-registered broker-dealer, an SEC-registered alternative trading system, and an SEC-registered transfer agent. This is performed by the transfer agent Oasis Pro TA.
Ondo first applied this structure on July 2, 2026, tokenizing two securities: BlackRock's iShares Core S&amp;P 500 ETF (IVV) and shares of chipmaker Micron Technology (MU). Both tokens were issued on Ethereum.

The mechanics rest on keeping the real share in place rather than moving it.

When a share is deposited, Oasis Pro TA mints a corresponding token, and the underlying share stays with a regulated custodian rather than being pooled into an offshore structure. This is different from many earlier tokenized-stock products, which operated outside the U.S. and relied on issuer-by-issuer sponsorship agreements.
<h3 id="span-span-strong-keeping-shares-inside-the-dtc-system-strong-span-span">Keeping Shares Inside The DTC System</h3>
On July 15, 2026, Ondo launched tokenized stock representations backed by DTC Tokenized Entitlements, digital twins of securities already held at the Depository Trust Company (DTC), generated through the DTCC Tokenization Service.&nbsp;
The first two assets were Circle stock and the SPDR S&amp;P 500 ETF, issued on-chain as CRCLon and SPYon. Ondo connects to the DTC participant network through Alpaca Markets, and the underlying shares stay inside DTC custody throughout the process. DTCC has said a fuller version of its Tokenization Service is planned for October 2026.

A token backed 1:1 by a real share is only useful if the holder gets the same rights as a traditional shareholder. Ondo partnered with Broadridge Financial Solutions to close that gap.

 <li>Token holders receive proxy voting access through Broadridge's ProxyVote.com platform</li>
 <li>Shareholder communications and regulatory disclosures are delivered the same way they reach brokerage account holders</li>
 <li>The goal, according to Ondo, is parity: the same protections whether shares are held through a broker or represented as a token</li>

<h3 id="span-span-strong-how-did-finra-approval-expand-access-strong-span-span">How Did FINRA Approval Expand Access?</h3>
Ondo's custody model initially launched outside U.S. retail access. That changed on July 23, 2026, when Oasis Pro Markets, Ondo's broker-dealer subsidiary, received expanded authorizations from FINRA. The approval covers:

 <li>Over-the-counter trading of tokenized equities and funds</li>
 <li>Underwritten primary offerings and private placements</li>
 <li>Tokenized products tied to upcoming IPO securities</li>
 <li>Settlement in either fiat currency or approved stablecoins</li>
</ul>
This gave U.S. institutional and retail investors a regulated path to the same tokenized securities that had previously only been available to eligible non-U.S. persons through Ondo's offshore platform.
As of late August 2026, Ondo's tokenized stocks platform held roughly $1.0 billion in total value locked across more than 260 listed symbols, with cumulative trading volume above $27 billion since its September 2025 launch.&nbsp;
As of September 10, 2026, the ONDO token traded near $0.358, with a circulating market capitalization of about $1.74 billion against a fully diluted valuation near $3.8 billion.&nbsp;

Ondo's custody model anchors tokenized stocks to real shares by keeping those shares inside the existing U.S. custody and clearing system, using a registered transfer agent to mint tokens 1:1, and routing shareholder rights through Broadridge's existing infrastructure. FINRA's July 2026 authorization extended this structure to U.S. retail and institutional investors, and DTCC's involvement ties the tokens directly to the settlement rails traditional securities already use.
