The U.S. Securities and Exchange Commission (SEC) has issued its latest guidance on digital assets, offering detailed insights into when a blockchain network crosses the threshold from decentralized governance to centralized control, a key factor in determining its regulatory classification.
<h2 id="sec-outlines-governance-and-centralization">SEC outlines governance and centralization</h2>
In a November 2 update, the SEC’s Division of Corporation Finance expanded its cryptocurrency framework with three new questions addressing governance systems, validator responsibilities, and the distinction between functional and decentralized blockchains. This addition builds on the existing framework that separates digital commodities from assets distributed through securities investment contracts.
The new guidance underscores that participation in governance—such as voting on protocol changes or coordinating through foundations—does not automatically render all participants a single controlling entity. Instead, the SEC highlights operational, economic, or voting control arrangements and the existence of any agreement to coordinate actions outside regular governance processes as markers of possible centralization.
Specific actions cited as potential signs of centralization include unilateral authority over network access, the ability to select or deselect validators, change upgrade procedures, or reverse blockchain transactions.
<blockquote>
 Participants are not presumed to form a controlling group solely by voting on proposals or engaging with a foundation; scrutiny centers on outside agreements and manifestations of operational control.
</blockquote>
This clarification directly impacts decentralized autonomous organizations (DAOs), token-based voting platforms, and blockchain foundations, all of which face scrutiny over centralization risks when structuring governance and technical authority.
For long-debated networks like XRP Ledger, where amendments require validator approval instead of unilateral intervention by a central entity, the SEC’s nuanced approach may provide some regulatory guidance without conferring definitive classification.
Nevertheless, the SEC does not explicitly classify individual blockchain projects with this guidance nor confirm any cryptocurrency’s full decentralization under its framework.
<h2 id="functionality-does-not-guarantee-decentralization">Functionality does not guarantee decentralization</h2>
The latest guidance draws a clear distinction between blockchain functionality and decentralization. A blockchain’s utility, as evidenced by working applications or active transactions, is not sufficient proof of decentralized operation in the eyes of regulators.
The SEC elaborates that decentralization requires an absence of any person or group wielding continuous or coordinated control—even if the network appears robust or entirely functional from a user perspective.
This position echoes issues raised during regulatory debates with <a href="https://en.coin-turk.com/expectations-rise-as-xrp-aims-for-spot-etf-approval/" rel="noopener noreferrer nofollow">Ripple</a>, where the subjectivity of decentralization metrics and their application to specific technologies came under examination.
<blockquote>
 A blockchain network’s technical capability does not alone satisfy the threshold for decentralization, as regulatory assessment focuses on the distribution of control and governance authority.
</blockquote>

The SEC update arrives alongside its broader Regulation Crypto Assets proposal, which seeks to carve out new fundraising exemptions and define clear paths for distinguishing tokens from investment contracts under federal law.
Projects under development and those with active communities must closely analyze their governance models in light of the new interpretation, as the SEC reiterates that its guidance comes solely from staff perspectives and does not carry the binding force of formal commission rules.
This clarification coincides with Ripple’s request for amendments to rules on when crypto investment contracts should be considered terminated, reflecting the high level of industry engagement with the evolving regulatory environment.
