The US Securities and Exchange Commission (SEC) has issued updated guidance relating to governance tokens, clarifying how broad-based participation in on-chain voting may be treated under its digital-commodity framework. The SEC’s Division of Corporation Finance added this clarification to its crypto asset FAQ on November 2, 2026, providing greater detail on when governance activity could signal central oversight. This update does not classify UNI, or any specific token, as a commodity.

SEC staff clarifies governance and centralization

The newly added FAQ sections address essential distinctions between decentralized governance and central-party control. Staff stated that unaffiliated participants who vote in protocol governance—such as holders of tokens like UNI—are not generally considered a central party simply for voting, unless they have a separate agreement or shared intention to act together beyond governance participation.

Officials emphasized that the actual distribution of authority matters. The agency described broad-based governance as a transparent, rules-based process, involving a diverse range of stakeholders. In such cases, authority must not be concentrated through affiliations or delegated voting rights. The SEC underlined that having a large number of voters in a protocol by itself does not prove genuine decentralization.

Staff guidance also listed forms of unilateral authority that could indicate central oversight. The ability of a person or entity to grant or restrict network access, alter voting processes, select network validators, modify code, reverse transactions, or revoke user privileges may suggest the presence of centralized control over the system.

The FAQ distinguishes clearly between “functionality” and “decentralization.” While functionality focuses on whether an asset can be used for its intended purpose within the system, decentralization refers to how operational, economic, or voting power is distributed. The SEC stated that each determination depends on project-specific facts and circumstances.

The SEC does not declare any project or token a commodity in this guidance and clarifies that broad-based, transparent governance processes involving unaffiliated participants do not on their own designate a central party or establish decentralization. Factors such as delegated or concentrated authority and the actual capacity to control protocols remain central to its analysis.

Background: Guidance follows recent regulatory developments

The SEC’s FAQ builds on a joint interpretation released with the Commodity Futures Trading Commission (CFTC) in March 2026, which set out a taxonomy for digital assets and described when a token might be subject to an investment contract. The latest guidance specifically addresses digital-commodity analysis as outlined in Section III of that framework.

This clarification does not amend Securities Act or Exchange Act definitions, and it does not provide a blanket reassessment on how participant groups are treated under current law. Staff reiterated the limited scope, explaining that this FAQ relates only to digital-commodity evaluation and should not be interpreted as a sweeping regulatory shift for tokenized governance generally.

Uniswap, a decentralized exchange protocol widely used in DeFi, offers a prominent example. UNI token holders participate in protocol governance, voting on issues including fee parameters, treasury allocations, and potential token minting. However, on-chain voting alone does not determine the UNI token’s regulatory classification.

Staff also clarified that the updated FAQ represents guidance rather than new rules. No token, including UNI, receives a definitive legal classification as a result of these clarifications.

Implications of the FAQ for governance tokens

The SEC’s guidance focuses on factors that may indicate whether governance participants could be viewed as a central party. For instance, a protocol may be fully functional, yet not considered decentralized if operational or economic control is concentrated in a specific group or individual.

While the guidance could address certain regulatory concerns for DeFi projects, SEC officials stress that it does not represent a binding determination. Exchanges or other market participants are not compelled to change their token classification approaches based solely on this FAQ.

Staff guidance states that the determination of a token’s status depends on a comprehensive, fact-specific review rather than any single test or feature. Each project’s governance structure and actual distribution of authority remain essential to the digital-commodity evaluation process.

Key considerations for future governance token assessments

Relevant factors going forward include how network rules are established or changed, the actual distribution of voting power, and whether any actor can override protocol decisions. The SEC emphasized that “facts and circumstances” unique to each token must be evaluated, and tokens should not expect automatic treatment based simply on governance arrangements.

This updated FAQ complements, but does not supersede, earlier frameworks about when a digital asset might become or cease to be a security, emphasizing that legal status cannot be resolved by governance structure alone.

The November 2, 2026 FAQ update remains staff guidance focused only on a limited interpretive point and does not serve as a universal legal determination for any digital asset.
