Circle, the issuer of the USD Coin (USDC) stablecoin, has submitted a proposal urging the U.S. Securities and Exchange Commission to ease regulatory requirements that currently affect the use of stablecoins in cryptocurrency fundraising. The move signals Circle's intention to reshape how American regulators treat stablecoin-denominated transactions at a time when digital asset policy is actively shifting in Washington.

Circle's proposal asks the SEC to reconsider how stablecoins are classified when they appear in fundraising transactions, such as token sales or digital asset offerings. The company argues that stablecoins designed to maintain a fixed value and function primarily as payment instruments should be treated differently from speculative crypto assets that the SEC typically views as securities. The distinction matters practically. Under current SEC interpretations, using a stablecoin to participate in a token offering could expose issuers and investors to disclosure and registration obligations that were designed for equity securities, not programmable dollar equivalents. Circle's proposal, as reported, contends that this treatment creates compliance friction that is disproportionate to the actual risk stablecoins pose to investors.
The proposal arrives as Treasury Secretary Scott Bessent has separately urged Congress to advance crypto market structure legislation, suggesting momentum in Washington toward a more defined regulatory framework for digital assets. Circle's SEC filing is one piece of a broader industry effort to clarify which agencies govern which crypto instruments.

Why Stablecoin Treatment Matters for Token Fundraising

For token issuers, the practical question is whether accepting USDC or a similar stablecoin as payment in a fundraising round triggers the same registration requirements as accepting cash or traditional securities. If the SEC were to confirm that fully reserved, payment-focused stablecoins fall outside securities definitions for these purposes, it could lower the legal cost of structuring compliant token offerings.
For investors, particularly retail participants across Southeast Asia who frequently use USDC on platforms such as those operated by Indodax or Coins.ph, the regulatory status of a stablecoin used to enter a token sale directly affects their protections. A clearer SEC position would determine whether investor disclosure rules apply to the transaction at all.
Circle has been actively expanding USDC supply to meet demand across blockchains. The company minted $1 billion in USDC on Solana within a single 24-hour period, demonstrating the scale at which stablecoins now move through crypto markets. Regulatory clarity on fundraising use cases would directly affect the velocity and legal framing of such transactions.
Any policy change would depend entirely on SEC action, either through formal rulemaking, a no-action letter, or updated guidance. Circle's proposal does not itself change the rules; it opens a formal dialogue with the regulator. The SEC has not yet responded publicly to the submission.
The question also intersects with the broader surge in crypto and AI-linked capital markets activity in 2025, where the line between a fundraising instrument and a payment tool has grown increasingly blurred as stablecoin-denominated deals become more common.

What to Watch Next From Circle and the SEC

The most consequential next step is whether the SEC issues any formal response to Circle's submission. The commission could open a public comment period, incorporate the request into ongoing rulemaking on crypto asset securities, or decline to act, leaving current interpretations in place.
Market participants should also watch whether other stablecoin issuers or industry associations file supporting comments. A coordinated industry submission would signal to the SEC that Circle's request reflects a systemic concern rather than a single issuer's preference.
For regional exchanges and regulators in Southeast Asia, the outcome carries indirect weight. Several ASEAN jurisdictions, including Singapore's Monetary Authority and Thailand's SEC, reference U.S. regulatory developments when calibrating their own stablecoin frameworks. A U.S. policy shift toward treating payment stablecoins as distinct from securities in fundraising contexts could accelerate similar clarifications in the region, lowering barriers for locally issued token offerings that rely on stablecoin settlement. Institutional players pushing crypto into mainstream finance are watching closely for exactly this kind of jurisdictional signal from Washington.
