Strategy shareholders approved daily dividends for four preferred securities on October 28, advancing the Bitcoin treasury company’s effort to make its preferred-stock platform more attractive to income-oriented investors.

Preliminary voting results showed 99.3% support among votes cast for amendments covering STRC, STRF, STRK and STRD. The changes permit dividend record dates on every calendar day, including weekends and market holidays, subject to the amended certificates becoming effective.

However, Strategy’s October 28 Form 8-Kreveals a less obvious consequence: investors buying shares on a Friday could miss three consecutive dividends, while sellers retain the entire weekend entitlement.

The discrepancy reflects how calendar-day distributions interact with Nasdaq’s ex-dividend rules and the Depository Trust Company’s settlement infrastructure.

Thursday Is the Cutoff for STRC’s Weekend Dividends

Strategy’s filing identifies November 6, 7 and 8, 2026, as an example of the revised system.

Although each day carries a separate dividend entitlement, DTC will treat all three record dates as Friday, November 6, because Saturday and Sunday are nonbusiness days. Nasdaq will also assign the same Friday ex-dividend date to the three distributions.

Under the U.S. T+1 settlement cycle, ordinary share transactions settle one business day after execution.

A purchase executed Thursday, November 5, therefore settles Friday. A purchase made Friday, November 6, settles Monday, November 9, after the relevant record date.

For standard Nasdaq transactions cleared through DTC, Thursday, November 5, is the last regular trading day to purchase STRC shares with entitlement to all three distributions.

The cutoff follows Nasdaq’s ex-dividend conventions, under which the ex-dividend date generally coincides with the record date in a T+1 settlement environment.

Investors using extended-hours trading or alternative venues should verify entitlement with their brokers.

Some brokers may internally match or net transactions, while alternative venues can use different clearing arrangements, meaning the timing of a trade does not always determine dividend entitlement in the same way as a standard Nasdaq transaction.

Three Days of Income Can Depend on One Trade

Strategy’s October 15 SEC filing declared STRC dividends of $0.04 per share for November 6 and $0.03 for each of November 7 and 8, conditional on the amendments becoming effective.

The combined distribution is $0.10 per share, equivalent to $100 on a 1,000-share position.

Under the stated Nasdaq and DTC arrangement, a Thursday buyer qualifies for the three payments. A Friday buyer does not, even if the shares remain in the account throughout the weekend.

The definitive proxy statement, signed by Executive Chairman Michael Saylor and Chief Executive Officer Phong Le, presents the proposal as part of Strategy’s effort to develop its Digital Credit platform.

The amendments change the distribution schedule rather than automatically increasing annual dividend rates. STRC’s variable rate remains subject to separate company determinations.

Strive Has Already Established a Daily-Payment Model

Strategy is not the first Bitcoin-focused company to pursue frequent preferred-stock distributions.

Strive’s SATA preferred security began paying cash dividends every business day in June 2026, creating a competing income product for investors seeking exposure to Bitcoin treasury companies.

Its June 15 SEC filing documented a 13% annualized dividend rate and daily payments of approximately $0.0493 per share for July business days.

The structural difference is important. Strive distributes on business days, while Strategy’s amended securities establish dividend entitlements for every calendar day.

Neither approach removes the need to evaluate market price, effective yield, dividend seniority or the issuer’s ability to sustain payments.

The Financing Benefit Depends on Market Demand

Strategy uses preferred securities alongside common-stock issuance to finance its Bitcoin treasury strategy. More frequent distributions could influence that model in three ways:

Investor demand: Shorter intervals between payments may attract income-oriented investors seeking regular cash flow.

Trading liquidity: Smaller individual distributions could reduce dividend-related price adjustments, although market volatility remains a separate risk.

Capital costs: Stronger demand could improve the terms of future preferred issuance, provided investors remain willing to purchase the securities at attractive prices.

The company’s October 26 SEC filing reported repurchases of approximately 2.07 million STRC shares for $204.9 million during the preceding week. Strategy also disclosed a $4.83 billion U.S. dollar reserve intended to support preferred dividends and debt interest.

Those figures illustrate the resources involved in maintaining its financing structure. Bitcoin holdings do not themselves generate contractual interest payments, leaving Strategy dependent on liquidity reserves, financing activity and other available resources.

The daily-dividend amendments may improve the marketability of its preferred shares, but their value will ultimately depend on investor demand and secondary-market pricing.

STRC’s November rollout will provide the first practical test. For traders, the immediate consideration is simpler: the ex-dividend date, rather than the weekend holding period, determines who receives the distributions under standard Nasdaq settlement rules.
