Pontoro announced the pilot on October 28 at the Stellar Development Foundation’s Meridian conference in Lisbon, with regulated platform Archax issuing the pool’s interests as permissioned tokens.

How the pool works

Private-fund money is usually locked up for years. An investor who needs cash before a fund winds down has to find a buyer willing to pay now and wait for the payouts, and in private markets that buyer often isn’t there. Pontoro calls its answer an Automated Liquidity Pool, or ALP: one investment vehicle with two halves.

Liquid sleeve

Money market funds and similar cash-like assets. It pays for purchases and meets redemptions.

Private sleeve

Interests in private market funds, such as private credit, bought from investors who want out early.

An investor in a private fund can offer their stake to the pool, subject to the pool’s available cash and the manager’s decision. The underlying fund keeps its portfolio as it is; only the owner of that stake changes. The pilot uses tokenized funds inside the pool, though Pontoro says traditional funds could also be used.

Pontoro’s platform runs the pricing, redemption and yield rules, while the manager keeps authority over strategy, asset selection, valuation and governance. That manager is not an outside firm: the release names the pool’s general partner as Pontoro ALP Management, LLC.

Exits get more expensive as cash runs low

The pricing rule is the core of the design. As the liquid sleeve shrinks relative to the whole pool, the discount the pool demands on new private-fund purchases widens. When fresh cash comes in, it narrows again. Pontoro says this liquidity price is set separately from the manager’s view of each asset.

For a seller, that means two things can lower an offer: a weaker view of the fund itself, and simply arriving when the pool is short of cash. The second has nothing to do with the investment’s quality. The same stake could fetch more one month and less the next.

The rule is also meant to fix the shortage. Pricing and yields adjust under rules set in advance, so buying at a deeper discount becomes more rewarding for anyone supplying new cash. Whether that money actually arrives depends on investors liking the assets and terms at that moment. Pontoro has not published the discount curve, so outsiders can’t yet see how steep the slide gets.

Two kinds of exit share one pile of cash

The pool sells liquidity to others, but its own investors need liquidity too. Redemption requests are met from the liquid sleeve first, so the private-fund stakes can stay invested. Purchases from outside sellers draw on that same sleeve.

How the same cash gets used twice (illustration)

Take a hypothetical pool with $30 million in its liquid sleeve. If it spends $10 million buying private-fund stakes and pays $10 million to redeeming investors in the same period, $10 million is left for everyone who comes next, before new inflows or valuation changes. These figures are illustrative, not the pilot’s actual allocation.

When the liquid sleeve runs out, the release says redemptions may be delayed, reduced or suspended under the offering documents. Pool interests are also subject to significant transfer restrictions and have no secondary market, so selling the token to someone else is not a fallback.

Regulators have flagged this exact tension. The Financial Stability Board’s work on tokenization lists liquidity and maturity mismatch among the main vulnerabilities: a product that promises quicker access to cash while holding assets that take years to sell. Pontoro’s model prices that mismatch rather than removing it. The real test is a period when sellers and redeeming investors want cash at the same time.

Who is behind the pilot

Archax, which holds UK, EU and US regulatory permissions, issues the pool tokens into approved, identity-verified wallets. Stellar’s asset controls let an issuer authorize holders, freeze tokens and claw them back, which is how the transfer restrictions are enforced on-chain. Those controls decide who can hold the token, not how much cash is available to buy it.

The release describes six roles in the pilot: network and capital, liquid assets, private assets, tokenization, institutional operations and the liquidity architecture. It names only three participants: the Stellar Development Foundation, Archax and Pontoro. It does not say who supplies the money market assets or the private funds. The foundation also discloses that it has invested in both Pontoro and Archax, and Pontoro’s other backers include Unbound, Ulu Ventures, Illuminate Financial and Neva SGR, an Intesa Sanpaolo Group affiliate.

Tokenization alone has not solved acceptance problems elsewhere either. Even the largest tokenized funds still need banks and counterparties willing to take them as collateral, which is a commercial question rather than a technical one.

What the filing says, and what’s still missing

Pontoro Stellar ALP, LP filed a Form D notice with the SEC on October 13. It lists a $200,000 minimum investment from outside investors and relies on Rule 506(c), an exemption that allows a fund to advertise publicly but requires it to verify that every buyer is an accredited investor. At the time of filing, the first sale had not yet taken place. A Form D is a notice, not SEC approval.

The launch materials leave the numbers that matter unpublished: how large the liquid sleeve is, how steeply the discount rises, and how many purchases or redemptions have been completed. Pontoro’s own April 2026 study of 500 respondents found that people understood the model after one reading, and that the remaining gap to adoption was institutional sponsorship, operating credibility and proof of execution. The pilot is meant to supply that proof. The first useful evidence will be funded purchases, paid-out redemptions and how the discount behaves when new cash is hard to find.
