Cryptex Finance

Cryptex Finance has filed its sixth pre-effective amendment to the BAGZ ETF registration statement with the U.S. SEC, revealing a 24-token portfolio that carves out a special allocation for its own native token, CTX, at a weight that more than triples its presence in the underlying index.

The Pre-Effective Amendment No. 6 to Form S-1/A was submitted on October 23, 2026, under Registration No. 333-294594. It is the latest chapter in an ongoing SEC review process that has now spanned at least six drafts, with no effectiveness declaration yet.
What CryptexFinance Updated in the BAGZ ETF Filing

The Cryptex Digital Market Cap ETF, ticker BAGZ, is not approved or live. The prospectus is explicit: shares cannot be sold until the SEC declares the registration statement effective. This is a proposed product still in the review pipeline, not a trading debut.
What the amendment reveals is a detailed snapshot of how the fund would be constructed, based on an allocation table dated September 8, 2026. The proposed fund would list on Nasdaq, pending that SEC sign-off. Six rounds of amendments suggest ongoing dialogue with regulators over the product’s structure and disclosures.

BAGZ Would Track a Screened Basket of 24 Crypto Tokens

The underlying Cryptex Digital Market Cap Index tracks the top 36 digital assets using a rules-based, market-cap weighted methodology. BAGZ would not hold all of them.

After applying the fund’s own additional eligibility screens, the portfolio narrows to 24 constituents, meaning 12 tokens that qualify for the index are excluded from the actual fund.

The filing discloses this as a meaningful source of tracking risk. Because BAGZ holds only a screened subset of the index and reweights those holdings, the fund may perform significantly differently from the index it is designed to track. That divergence risk is spelled out in the registration statement, and it is not a minor footnote.

Several well-known tokens appear in the allocation table. XRP carries a 4.36% index weight and 4.41% fund weight. Shiba Inu sits at 3.22% in the index and 3.26% in the fund. Zcash, a privacy-focused token that has faced regulatory scrutiny in other jurisdictions, comes in at 1.85% index and 1.87% fund weight. The inclusion of meme coins alongside privacy tokens under one ETF wrapper illustrates how broad the mandate is.

The fund also caps staking allocations at a maximum of 33.0% of the portfolio, a structural guardrail on yield-generating activity within the ETF wrapper. Multi-token baskets like BAGZ are a different regulatory conversation from the single-asset spot products that have already cleared the SEC, and the volatility that has rattled crypto markets recently has kept that conversation cautious.

CTX Gets a Fixed 2% Index Weight, But a 6.5% Fund Floor

The most structurally unusual element of the filing is how it treats CTX, CryptexFinance’s own native token. CTX does not meet the standard eligibility criteria for inclusion in the index; it is hardcoded in at a fixed 2.00% weight regardless.

At the fund level, the additional screening methodology pushes CTX’s allocation substantially higher, to a 6.50% minimum weight floor in the portfolio.

That gap matters. An issuer constructing an ETF that systematically overweights its own token relative to the benchmark it tracks raises conflict-of-interest questions the SEC will probe. CryptexFinance must disclose this structural choice in the prospectus precisely because it is a departure from standard passive indexing practice.

The crypto sector has seen regulators grow sharper-eyed about token design and issuer-affiliated conflicts since incidents like the Initia blockchain halt exposed how quickly protocol-level decisions can harm participants. How the SEC reads the CTX overweight against that backdrop is a live question.

Where the Filing Stands Now

Six amendments in, BAGZ is further along than most crypto ETF proposals, but further along is not the same as approved. The prospectus language is unambiguous: this is not an offer to sell, and any sale is prohibited until effectiveness is declared.

CryptexFinance describes its Digital Market Cap Index as rules-based and market-cap weighted, covering the top 36 digital assets. The fund would hold a filtered version of that universe, with the CTX carve-out representing the most distinctive departure from pure passive exposure.

Concerns about infrastructure security across the crypto space, from trading platform breaches to smart contract exploits, have made regulators more attentive to the operational risks embedded in multi-asset structures. BAGZ’s eventual approval, or continued delay, will signal how comfortable the SEC has become with basket products that include issuer-affiliated tokens at inflated weights.

Six filings in and no effectiveness date in sight: will the CTX conflict-of-interest question be the sticking point that keeps BAGZ in amendment limbo, or is a seventh filing already being drafted?
