House of Doge Inc. and its U.S. subsidiary have until December 31, 2026, to eliminate the word “Doge” from their corporate names as part of the terms ending an exclusive trademark agreement with the Dogecoin Foundation. This requirement was revealed in a Form 8-K filed with the U.S. Securities and Exchange Commission on October 23, 2026.

License agreement changes and corporate rebranding

The exclusive agreement between House of Doge and the Dogecoin Foundation was mutually terminated on October 19, bringing an end to arrangements on exclusivity, sublicensing, and partnership branding. Neither party is permitted to describe itself as the Foundation’s “Official Corporate Arm” or “Official Commercial Partner.” Both companies must also remove all related trademarks from their subsidiary company names.

House of Doge Inc., listed on Nasdaq under the ticker HODO, operates as the parent company, with a Texas-based subsidiary also previously called House of Doge Inc. According to the regulatory filing, the company is considering a complete rebrand and intends to seek shareholder approval for a reverse stock split at its next annual meeting.

Key leadership changes accompanied these developments. Chief Executive Officer Marco Margiotta and Chief Financial Officer Charles Park resigned on October 22. Curt Hopkins, chief executive of McQueen Labs, has temporarily assumed both roles.

Following these changes, Dogecoin Labs was named the Dogecoin Foundation’s sole commercial partner. Under the agreement, Dogecoin Labs is authorized to use the DOGECOIN and DOGE names with only three financial products—21Shares Dogecoin ETF (TDOG), 21Shares Dogecoin ETP (DOGE), and 21Shares 2x Long Dogecoin ETF (TXXD)—as those products existed on October 19, 2026. Any future products require separate written consent from the Foundation.

The Foundation and MadeUpNumbers Ltd. specified that marks cannot be used for new products, corporate names, unrelated financial offerings, payment items, or goods without clear approval. Royalties from any new approved products are paid quarterly with no upfront charge or minimum, and the current license is valid through October 19, 2029, with no automatic extension. As of April 2025, the 21Shares Dogecoin ETP has been traded in euros on Xetra and Gettex, managing assets of approximately $9.49 million.

To conclude the previous exclusive rights, House of Doge’s subsidiary agreed to pay the Dogecoin Foundation $400,000 in cash, stock, or a combination when sufficient funds are available. If payment is missed and not remedied within ten business days after notice, the Foundation may revoke the new license. Until the full amount is paid, all previous claims remain active.

Only three 21Shares Dogecoin products may retain the DOGE mark through October 19, 2029, and any missed termination payment could end the new licensing deal immediately if not resolved within the specified period.

Beyond the licensing arrangement, House of Doge’s U.S. subsidiary is transferring the software, source code, domains, and cloud systems of Such App to Dogecoin Labs. In exchange, the subsidiary will receive $4 million in Dogecoin Labs stock, reflecting a $120 million valuation. Dogecoin Labs has not assumed responsibility for any of the subsidiary’s debts or contracts. The agreement’s completion is subject to lender approvals and will expire if not finalized within 30 days of October 19, 2026.

The Form 8-K also noted a binding letter of intent to purchase McQueen Labs’ MCQ Markets token platform for $15 million, as well as its microlending operation. If no definitive agreement is signed by December 15, 2026, the letter of intent becomes void.

Originally, House of Doge created its identity around the Dogecoin brand and gained its Nasdaq listing through a reverse merger with Brag House Holdings, a transaction backed by 98% of voting Brag House shareholders in April 2026.

In June, House of Doge formed a partnership with Paxos, which supports the crypto infrastructure of PayPal, Venmo, and Interactive Brokers. By October 2025, House of Doge had custody of more than 837 million DOGE with 21Shares.

Dogecoin Labs revealed plans to integrate the DogeOS application infrastructure with the MyDoge wallet and Such App. On October 25, DOGE dropped 1.2% to $0.077 within 24 hours. That week, U.S.-listed Dogecoin funds reported net outflows of about $538,000.
