Trump Media & Technology Group Corp. filed a Form 425 with the SEC on October 22, 2026, reproducing an interview its Interim Chief Executive Officer Kevin McGurn gave two days earlier in which he confirmed that the company’s bitcoin-focused digital asset treasury is directly funding its pending acquisition of TAE Technologies, a fusion energy company. The filing was made under securities rules that require communications related to a pending merger to be filed with regulators, since the deal involves an exchange of stock.
McGurn described the treasury’s purpose plainly, saying it was built so the company could go get what he called a crown jewel asset, referring to TAE. Central to how that treasury generates usable funds is a covered-call strategy applied to the company’s bitcoin holdings, a technique that involves selling call options against existing bitcoin positions to collect premium income, generating cash flow from the treasury without necessarily requiring the company to sell its underlying bitcoin outright.
On the deal itself, the filing confirmed that a Form S-4 registration statement covering the stock-and-cash acquisition of TAE Technologies has already been filed with the SEC, and that the company is currently working through regulatory comments on that filing. McGurn said he is targeting a deal closing by the end of 2026 or early 2027, giving a rough timeline for when the fusion energy company would formally become part of Trump Media’s broader business.
The filing also touched on TAE’s physical operations, noting the company’s current site is in Irvine, California, with roughly six other states currently under review as potential locations for a new facility, though no final site decision has been made. A related power and data-center spin-off tied to the TAE deal is said to cut data-center capital expenditures by almost 10 percent, according to figures cited in the filing, suggesting the fusion energy acquisition carries potential benefits for Trump Media’s other infrastructure ambitions beyond the energy technology itself.
Separately, McGurn discussed the company’s “Truth API,” a high-frequency data feed product serving ten accounts including one belonging to President Trump, offering roughly 50 millisecond latency as a competitive edge, which he described as a new, cash-positive revenue line with the next earnings update expected in a couple of weeks. McGurn also stated he has not been contacted about any regulatory investigation related to the company, and confirmed that Trump’s own shares in Trump Media are held in a blind trust.
