Wells Fargo has objected to tokenized trading of its shares on OKXICE, joining Intuit, Arm Holdings and other U.S.-listed companies resisting the proposed blockchain-based equity venue.

The objections now total 22, according to Reuters’ October 23 report. Wells Fargo declined to comment, leaving its specific reasons undisclosed.

OKXICE, jointly owned by cryptocurrency exchange OKX and New York Stock Exchange parent Intercontinental Exchange, intends to offer U.S. stocks through permissioned automated market maker (AMM) pools on X Layer.

Its proposed structure has secured a pathway under the Securities and Exchange Commission’s new exemption. Access to individual companies’ shares, however, remains subject to an issuer objection mechanism.

Wells Fargo Adds to a Growing List of Corporate Objections

Wells Fargo joins a group that already includes Goldman Sachs, Microsoft, Alphabet, Broadcom and Verizon.

The objections have accumulated quickly. Nine companies had appeared in OKXICE’s October 15 notice, rising to 16 by October 19 before the latest additions reported by Reuters.

The venue initially identified 63 stock symbols for potential trading, although those symbols do not represent 63 distinct issuers. Alphabet’s two share classes, for example, must be counted separately when assessing the proposed product lineup.

Consequently, dividing 22 objections by 63 symbols would exaggerate the precision of any estimate of lost listings.

The commercial impact is nevertheless substantial.

A platform offering tokenized equities needs securities that investors want to trade. Removing prominent names reduces its potential product coverage, while splitting available liquidity among multiple stock-stablecoin pools can make execution less competitive.

An objection does not remove the underlying shares from conventional exchanges. It restricts the proposed third-party-tokenized offering on the relevant venue.

The legal foundation is the SEC’s September 17 exemptive order, Release No. 34-106402.

The mechanism gives companies leverage over a specific distribution channel without requiring them to prohibit blockchain-based share ownership generally.

It also changes how tokenized platforms must build their markets. Regulatory eligibility alone cannot establish a complete stock offering when individual issuers can prevent particular listings.

Why AMM Stock Trading Conflicts With Traditional Market Rules

The SEC’s order contains a more specific technical issue than the usual debate over whether blockchain settlement is faster.

In Section II.B, the Commission explains that AMM pricing may be incompatible with Rule 611 of Regulation NMS, commonly known as the trade-through rule.

Rule 611 generally requires protected quotations on other trading venues to be respected, subject to applicable exceptions.

An AMM operates differently. Its smart contracts determine prices from assets committed to a liquidity pool rather than automatically matching orders against the best protected quotations across traditional markets.

A pool can therefore generate an executable price that differs from the prevailing protected quotation.

The SEC also identifies potential complications under Rule 602, concerning quotation information, and Rule 612, concerning minimum pricing increments.

Its exemption addresses these structural differences by relieving qualifying venues from the exchange definition under specified conditions. It is not a general waiver of every securities-law requirement.

The distinction matters for OKXICE because the platform plans to pair stock tokens with stablecoins including USDC, USDT and USDG.

Different pools can develop different prices and liquidity conditions for economically similar exposure.

Off-Hours Pricing Creates a Separate Execution Risk

OKXICE also proposes continuous trading, including periods when conventional U.S. stock exchanges are closed.

Suppose a company announces disappointing earnings after regular trading ends. A tokenized AMM could continue executing transactions while the underlying stock’s main reference market offers limited liquidity.

If a pool contains relatively little capital, selling pressure may move its price sharply.

Arbitrage can help reconnect the two markets, but only when participants can access the underlying shares, create or redeem the corresponding tokens and trade economically after costs.

Corporate actions add another operational requirement. Token holders need clear arrangements for dividends, voting, stock splits and the legal ownership records connecting tokens to underlying securities.

The SEC specifically identifies shareholder-register complications and potential price dislocations among the concerns issuers may consider. These are regulatory observations, not explanations provided by Wells Fargo.

Issuer-Backed Tokenization Offers a Different Route

The distinction between third-party and issuer-supported tokenization is becoming commercially important.

Under the SEC framework, eligible tokenized shares may be created by or on behalf of the underlying issuer, or by an unaffiliated third party. The objection mechanism at issue applies to the latter arrangement.

An issuer-supported structure could give a company more direct involvement in custody, ownership records and shareholder servicing. It would not automatically solve liquidity, pricing or compliance challenges, but it could avoid the particular conflict now affecting OKXICE’s proposed listings.

The SEC order also distinguishes tokenized shares from synthetic stock exposure. Certain third-party instruments, including tokenized linked securities and security-based swaps, fall outside its definition of eligible tokenized NMS stock. Investors therefore cannot assume that every token carrying a stock ticker provides identical legal rights.

For OKXICE, the objections leave three potential paths:

Concentrate on stocks without objections: A narrower offering could direct liquidity toward fewer pools, although it would limit the range of equities available to investors.

Pursue issuer-supported tokenization: Direct cooperation with companies could improve coordination over custody, shareholder rights and corporate actions, but would require additional commercial agreements.

Adjust the trading model: Changes to the platform’s structure or product selection could address some issuer concerns, although any revised approach would still need to satisfy applicable securities regulations.

Wells Fargo’s objection illustrates a constraint on third-party equity tokenization: regulatory authorization does not guarantee access to every issuer’s shares.

For OKXICE, the next meaningful indicators will be the number of securities it can list, the liquidity those markets attract and the legal rights attached to the tokens investors purchase.
