Ripple Prime, the institutional prime brokerage arm that Ripple launched following its acquisition of Hidden Road, has unveiled 24-hour equity swap products, extending round-the-clock derivatives access to clients who already operate in crypto's non-stop trading environment. The launch marks a direct push into a product class that has historically been confined to regulated exchange hours, aiming to let institutional participants manage equity exposure across time zones without waiting for traditional market sessions to open.
Equity swaps are derivative contracts that allow two counterparties to exchange cash flows tied to the performance of an equity asset or index, without either party needing to own the underlying shares. One leg of the swap typically pays a floating return linked to a stock or basket; the other pays a fixed rate or alternative benchmark. The structure lets institutions gain or hedge equity exposure off-balance-sheet, manage leverage, and separate economic exposure from direct ownership, which carries its own custody, voting, and dividend obligations. The defining feature of Ripple Prime's offering, as announced, is continuous availability. Traditional equity derivatives, including listed options and variance swaps, are typically constrained to the trading hours of the exchange on which the underlying stock or index is listed. A 24-hour equity swap product sidesteps that structural limit, allowing participants to enter, adjust, or exit positions during hours when the underlying market is closed, at least at the contract level.
What 24-hour access changes for institutional desks

The practical appeal of round-the-clock equity derivatives lies in overnight risk management. Macro events, central bank decisions, geopolitical developments, and earnings-adjacent news can all move equity futures significantly during hours when traditional options desks are closed. An institutional desk that already holds positions across crypto and traditional assets could use a 24-hour equity swap to hedge directional exposure in real time rather than waiting for London or New York opens.
Ripple Prime is positioned to serve exactly that client profile. The firm raised $275 million in senior notes to expand its prime brokerage infrastructure, signaling that the buildout is capitalized at scale. That financing followed a separate $200 million asset-backed debt facility from Neuberger Berman, underscoring the institutional-grade backing behind the platform. Clients using the 24-hour equity swap product will likely include crypto-native funds that need to hedge stock correlations, multi-asset family offices operating across time zones, and digital-asset market makers who want equity hedges without opening separate prime brokerage relationships at a traditional bank.
The gap between product trading hours and underlying-market hours introduces specific execution and valuation risks that traders must account for. When the New York Stock Exchange is closed, price discovery for individual equities effectively pauses. A swap referencing a single stock will rely on model-based or futures-implied pricing during off-hours, rather than real-time auction prices. That creates wider bid-ask spreads, increased counterparty discretion in mark-to-market calculations, and a harder path to immediate exit at fair value if the position needs to be unwound outside regular hours.
Index-referenced swaps carry somewhat less overnight pricing risk than single-stock products, because equity index futures on major benchmarks such as the S&P 500 trade nearly around the clock on CME Globex. Even so, liquidity thins materially during Asian afternoon and early European morning hours, and the gap between futures-implied index levels and the official cash close can widen significantly on event-driven nights.

What is confirmed versus what requires verification

As of this writing, Ripple Prime has announced the 24-hour equity swap product. Specific operational terms, including the list of eligible underlying equities or indices, contract tenor options, margin and collateral requirements, fee structure, leverage limits, and supported client jurisdictions, have not been confirmed in publicly available disclosures reviewed for this article. Potential users should contact Ripple Prime directly or review its official client documentation before drawing conclusions about suitability or cost.
Regulatory status is a material open question. Equity swaps are regulated derivatives in most jurisdictions. In the United States, security-based swaps fall under SEC oversight following Dodd-Frank, while commodity-based equity derivatives fall under CFTC authority. Whether Ripple Prime is offering this product through a registered swap dealer, a non-US entity, or under an exemption framework has not been publicly detailed. Traders operating in regulated jurisdictions should confirm the regulatory wrapper before entering into any contract.
Counterparty credit exposure, a central risk in any bilateral swap, also requires scrutiny. Unlike listed derivatives that are centrally cleared through a qualifying central counterparty, bilateral OTC equity swaps carry full credit exposure to the issuing counterparty. Ripple Prime's capitalization, as evidenced by the Neuberger Berman facility and the $275 million senior notes raise, suggests the firm has meaningfully funded its balance sheet, but formal credit ratings, capital adequacy disclosures, and margin offset arrangements with prime counterparties have not been publicly released.

Key details to verify before trading

Institutional traders evaluating the product should work through a structured checklist before committing capital. The following items represent the minimum due-diligence scope for a 24-hour OTC equity derivative offered by a non-bank prime broker.

Eligibility and jurisdiction: Which legal entities and domiciles can access the product? Are there restrictions for US persons, EU clients under EMIR, or APAC clients under local derivatives regulations?

Supported underlyings: Does the product cover individual equities, indices, ETFs, or a combination? Are single-stock swaps subject to additional uptick or short-sale constraints in the relevant jurisdiction?

Pricing methodology off-hours: How does Ripple Prime mark positions when the underlying exchange is closed? Is the reference price derived from futures, ADRs, model-based extrapolation, or some other mechanism?

Margin and collateral terms: What assets are accepted as initial and variation margin? Can XRP or other digital assets serve as collateral, or is fiat-denominated margin required?

Contract tenor and settlement: Are contracts cash-settled at expiry, or can positions roll continuously? What is the settlement reference for the equity leg at maturity?

Regulatory registration: Under which regulatory framework is this product offered, and through which entity? Has Ripple Prime registered as a swap dealer, security-based swap dealer, or equivalent in the relevant jurisdictions?

Liquidity and exit terms: Under what conditions can a counterparty terminate early? Are there liquidity gates, force-close mechanisms, or price disruption provisions that would limit exit during volatile sessions?

The broader Ripple Prime buildout

The equity swap launch fits within a sequence of moves that Ripple has made to convert its institutional relationships and balance sheet into a full-service prime brokerage. The Hidden Road acquisition brought an existing client base of institutional and professional counterparties. The subsequent debt raises provided the capital necessary to post margin, extend credit, and backstop large notional derivative books. Adding equity swaps expands the product menu beyond crypto-native instruments, making Ripple Prime relevant to multi-asset clients who would otherwise maintain separate relationships for their equity and digital-asset prime brokerage needs.
For XRP holders and the broader Ripple ecosystem, the significance is structural rather than token-price-direct. A prime brokerage that generates fee revenue from equity derivatives diversifies Ripple's income beyond payments and token sales. It also deepens the firm's relationships with institutional counterparties who represent the most durable demand for regulated cross-asset infrastructure, a constituency Ripple has targeted consistently across its Brazil payments expansion and RLUSD stablecoin growth, where RLUSD circulation reached $2.4 billion.
The immediate catalyst to watch is whether Ripple Prime publishes formal product documentation, a regulatory disclosure, or an approved counterparty list that confirms the terms outlined in the announcement. A registered swap dealer filing with the CFTC or a security-based swap dealer registration with the SEC would confirm the US regulatory pathway for the product. Institutional clients in the EU should watch for EMIR trade reporting confirmations and any ESMA notifications. Until those filings are publicly available, the 24-hour equity swap product should be treated as announced but not fully documented, and traders should engage Ripple Prime's institutional sales desk directly for term sheets before sizing any exposure.

FAQ: Ripple Prime's 24-hour equity swaps

What did Ripple Prime launch? Ripple Prime announced equity swap products that are available for trading 24 hours a day, extending derivatives access beyond the trading sessions of traditional equity exchanges.
Do equity swaps mean investors own the underlying shares? No. An equity swap is a derivative contract that replicates the economic exposure of owning shares, or of a short position in shares, without transferring actual share ownership. The holder has no voting rights, no direct entitlement to dividends at the company level, and no record ownership on the share register. The swap contract specifies how equity-linked cash flows and any return-of-notional will be handled between the two counterparties.
What should traders check before using a 24-hour equity swap product? At minimum, traders should confirm the regulatory status of the offering in their jurisdiction, the pricing methodology used for marks when underlying exchanges are closed, acceptable collateral forms, margin terms, early termination provisions, and the credit profile of Ripple Prime as counterparty. Given that specific product terms have not been publicly disclosed in detail at this stage, direct engagement with Ripple Prime's institutional team and independent legal review of the swap confirmation documentation are necessary steps before entering into any contract.
How does this fit with Ripple's broader strategy? The equity swap product is part of Ripple Prime's expansion into multi-asset prime brokerage, a buildout that began with the Hidden Road acquisition and has been capitalized through the $275 million senior notes issuance and the $200 million Neuberger Berman facility. Adding equity derivatives allows Ripple Prime to serve multi-asset institutional clients from a single prime relationship rather than competing only in the crypto-native segment.
