<p>Hyperliquid Strategies Inc. expanded its equity purchase commitment with Chardan Capital Markets LLC from $1 billion to $2.5 billion on September 1, according to an amendment filed with the U.S. Securities and Exchange Commission. The larger facility gives the company an additional $1.5 billion of aggregate equity purchase capacity, subject to the agreement's terms.</p><h2 id="chardan-facility-rises-to-2-5b">Chardan facility rises to $2.5B</h2><p>The company entered Amendment No. 1 to its ChEF Purchase Agreement with Chardan on September 1. The amendment raises the aggregate commitment under the arrangement to $2.5 billion, from the prior $1 billion, according to the <a href="https://www.sec.gov/Archives/edgar/data/2078856/000119312526378589/purr-20260901.htm" rel="noopener noreferrer nofollow">SEC filing</a>.</p><p>The expansion comes as Hyperliquid Strategies pursues a treasury-building strategy centred on Hyperliquid's HYPE token. As of June 30, the company had sold approximately $647 million of shares through the facility, according to <a href="https://www.theblock.co/news/business/2026-09-01-hyperliquid-strategies-expands-equity-facility-413304" rel="noopener noreferrer nofollow">The Block's reporting on the company's latest SEC filings</a>.</p><h2 id="nasdaq-cap-on-discounted-issuances">Nasdaq cap on discounted issuances</h2><p>After $1 billion in cumulative sales, the amendment caps issuances below $12.02 per share at 42,641,847 shares, or 19.99% of the shares outstanding immediately before the amendment, unless the shareholder approval required by Nasdaq is obtained.</p><p>The limit covers only below-$12.02 issuances after that $1 billion threshold, not all sales under the enlarged facility, according to the agreement.</p><h2 id="hype-treasury-holdings">HYPE treasury holdings</h2><p>Hyperliquid Strategies' latest reported holdings stood at approximately 29.4 million HYPE tokens as of August 23, according to The Block. The <a href="https://cryptodaily.co.uk/stocks-glossary/equity-definition" rel="noopener noreferrer nofollow">equity</a> facility is therefore a central funding mechanism for a strategy tied to accumulating the token.</p><p>The $2.5 billion headline commitment does not remove the exchange-cap condition for discounted sales after the $1 billion threshold.
