Company Finalizes 1-for-30 Stock Consolidation Plan

Beyond Meat’s board of directors has finalized the selection of a 1-for-30 consolidation ratio after reviewing thirty different options previously authorized by shareholders during a special stockholder meeting. The reverse split will officially take effect at 11:59 p.m. Eastern Time on Wednesday, August 13, 2026. Trading on a post-consolidation basis is scheduled to commence when the Nasdaq exchange opens for business on Thursday, August 14, with the company retaining its familiar BYND ticker.

When the consolidation takes effect, each group of 30 existing Beyond Meat shares will automatically combine into a single share of common stock. The company has confirmed it will not distribute fractional shares to registered shareholders, opting instead to round up holdings to the next complete share. Brokerage firms and custodians managing street-name accounts may implement their own methodologies for handling fractional share adjustments.

Beyond Meat is concurrently reducing its authorized common stock from three billion shares down to 100 million shares as part of this comprehensive capital reorganization. Following this adjustment, the company’s total authorized capital will decrease from approximately 3.0005 billion shares to 100.5 million shares. According to the company, these modifications preserve the par value of common stock and maintain shareholders’ proportional voting rights.

Nasdaq Listing Requirements Motivate Strategic Move

The primary motivation behind Beyond Meat’s reverse stock consolidation is to regain compliance with Nasdaq’s minimum bid price threshold for continued exchange listing. This strategy mechanically elevates the per-share price while proportionally decreasing the total share count. Importantly, the consolidation does not alter Beyond Meat’s fundamental business valuation or affect individual shareholders’ percentage ownership in the company.

The company will make corresponding adjustments to convertible debt conversion rates, outstanding warrant terms, stock-based compensation awards, and associated strike prices following the consolidation’s effective date. Beyond Meat will proportionally reduce shares allocated for employee stock incentive programs according to the same 1-for-30 ratio. Equiniti Trust Company has been designated as the transfer and exchange agent responsible for managing the share conversion process for all registered stockholders.

Shareholders granted broad authority for various reverse split scenarios during a special meeting convened on November 19, 2025, preceding the board’s final determination. This authorization empowered the board to select the optimal ratio considering prevailing market dynamics and Nasdaq regulatory standards. With the ratio now confirmed, Beyond Meat faces a compressed timeline before split-adjusted shares begin trading in the marketplace.
