U.S. Senator Cynthia Lummis, a long-time advocate for cryptocurrency-friendly policy, has outlined a key provision of the proposed Clarity Act that would fundamentally change how customer digital assets are treated when a crypto exchange files for bankruptcy. In a post on X, Lummis stated that the core purpose of the legislation is to ensure that customers retain ownership of their cryptocurrencies, even if the platform holding those assets becomes insolvent.

Lessons from Celsius and Voyager

Lummis pointed to the high-profile collapses of Celsius Network and Voyager Digital as the driving force behind the bill. When those firms entered bankruptcy proceedings, customer-deposited cryptocurrencies were not legally classified as belonging to the customers. Instead, they were absorbed into the bankruptcy estate and treated as property available for distribution among all creditors, including those with no direct relationship to the depositors. This meant that many customers were forced to wait years for partial recovery, often receiving only a fraction of their original holdings in fiat or other assets.

The Senator argued that this outcome was fundamentally unfair and created a structural risk for retail investors who believed their assets were safely segregated. The Clarity Act aims to close this legal loophole by establishing a clear statutory framework that recognizes customer ownership rights over deposited digital assets.

How the Clarity Act Would Change the Rules

Under the proposed legislation, the legal treatment of customer crypto would shift dramatically. If an exchange files for bankruptcy, the digital assets deposited by customers would remain the property of those customers and would not become part of the company’s bankruptcy estate. This would effectively shield them from claims by other creditors, such as lenders, vendors, or bondholders.

This change would require exchanges to maintain clear segregation of customer assets from their own corporate holdings, a practice that has been inconsistently applied across the industry. The bill would also likely impose stricter custodial standards and auditing requirements to ensure compliance, though the full text of the legislation has not yet been released.

Why This Matters for Crypto Investors

The failure of major platforms like FTX, Celsius, and Voyager collectively affected millions of customers and resulted in billions of dollars in losses. For many, the experience shattered trust in the crypto ecosystem. The Clarity Act addresses one of the most painful lessons from those collapses: that depositing crypto on an exchange did not guarantee ownership in a legal sense. By codifying customer ownership rights, the bill could restore confidence among retail and institutional investors who have been hesitant to use centralized platforms.

If enacted, the legislation would also create a clearer legal environment for exchanges operating in the United States, potentially reducing the risk of future mass customer losses and the associated legal chaos.

Conclusion

The Clarity Act represents a targeted legislative response to a specific and well-documented failure in the current legal framework. Senator Lummis’s explanation highlights the bill’s central promise: that customers should not bear the cost of an exchange’s mismanagement or insolvency. As the bill moves through Congress, its impact on both investor protection and the broader regulatory landscape for digital assets will be closely watched.

FAQs

Q1: What is the Clarity Act?
The Clarity Act is a proposed U.S. federal law introduced by Senator Cynthia Lummis. Its primary goal is to legally define that customers retain ownership of their cryptocurrency assets even if the exchange holding them files for bankruptcy, preventing those assets from being claimed by other creditors.

Q2: Why did customers lose their crypto in the Celsius and Voyager bankruptcies?
In both cases, the bankruptcy courts treated customer-deposited cryptocurrencies as part of the exchange’s estate. This meant the assets were available to pay all creditors, not just the customers who deposited them. Customers became unsecured creditors and often recovered only a fraction of their holdings.

Q3: Would the Clarity Act affect how exchanges operate?
Yes. If passed, the law would require exchanges to clearly segregate customer assets from their own corporate funds. This would likely lead to stricter custodial practices, more transparent accounting, and potentially new auditing requirements to ensure customer assets are protected at all times.
