How Evernorth's 473 Million XRP Treasury Is Taking Shape

Evernorth has been pursuing a path to become a publicly listed company specifically designed to hold XRP on behalf of shareholders. A corporate XRP treasury means the company holds XRP directly on its balance sheet, similar to how some companies hold cash or bonds, giving public market investors exposure to XRP through a regulated stock. For related coverage, see 400 Million Locked XRP Face October Deadline as Evernorth SPAC Gets $135K Lifeline.

The company filed an S-4 registration statement with U.S. regulators to complete its merger and list on Nasdaq as an XRP treasury company. An S-4 is a form companies must submit to the U.S. Securities and Exchange Commission when merging with a publicly traded shell company, known as a SPAC. That process also included a shareholder vote scheduled for September 30 to approve the merger. With the merger now cleared, the 473 million XRP figure represents the planned treasury balance coming onto the company's books.

The path was not without complications. Earlier in the process, approximately 400 million locked XRP faced an October deadline as the SPAC structure required ongoing financing to stay alive. The merger was ultimately approved alongside $300 million in funding, clearing the way for the planned XRP transfer onto the balance sheet.

Why a Large Public XRP Treasury Matters

When a public company holds a cryptocurrency like XRP on its balance sheet, it creates a new way for ordinary investors to gain exposure to that asset. Instead of buying XRP directly on a crypto exchange, an investor can buy shares in a company whose primary asset is XRP. This is the same logic behind companies that have built large Bitcoin treasuries.
Evernorth's planned 473 million XRP holding would, based on the company's own positioning, make it the largest such treasury among publicly traded companies. That distinction matters because public companies must disclose their holdings regularly through regulatory filings, bringing a level of transparency that privately held crypto funds do not have.

It is important to note that the 473 million XRP figure reflects a planned or incoming balance sheet position. The announcement alone does not establish any particular outcome for XRP's price. Corporate treasury purchases do not guarantee price appreciation, and investors should weigh the difference between a company's stated plans and completed transactions.
