Howey Test Analysis It bears mentioning that the Howey test is a legal test used in the US to examine whether a transaction constitutes an investment contract. It was established in 1946 by the United States Supreme Court in the lawsuit between the SEC and W.J. Howey Co. Under Howey, a transaction requires an investment of money in a common enterprise with the expectation of profit from the efforts of others.
